1、AGREEMENTTHISAGREEMENT(this“Agreement”)ismadeasofthis_dayof_,200_,(the“EffectiveDate”)byandbetween_.(Purchaser)and_(Seller).WITNESSETH:WHEREAS,Purchaserwishestopurchase_fromSeller;andWHEREAS,Selleriswillingtosellsuch_toPurchaser;NOW,THEREFORE,inconsiderationofthecovenants,conditionsandpaymentsherein
2、aftersetforth,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:Price, Quantity, Shipping Instructions, and Payment Terms.SellerwillselltoPurchaser_(the“Goods”)RFP_,dated_,pursuanttothetermsofthisAgreementandtheprice,payment,delivery,andothertermssetforthintheAppend
3、ixattachedheretoandmadeaparthereof(the“Appendix”).TheGoodswillbeshipped_,inaccordancewiththedetailsspecifiedintheAppendix.NothingcontainedinthisAgreementshallbeconstruedasacommitmentbyPurchasertopurchaseanyGoods,orminimumquantitythereof,fromSeller.Term.ThetermofthisAgreementshallbeginontheEffectiveD
4、ate,andshallendon_ (the“Term”)unlessearlierterminatedinaccordancewiththisAgreement.Title and Risk of Loss.TitletoandriskoflossofallGoodsfurnishedhereundershallremainwithSelleruntilreceipt,inspection,andacceptanceoftheGoodsbyPurchaser.SellerwarrantsthatithascleartitletotheGoodsandthatthereisnooutstan
5、dinghostileclaimagainstorsecurityinterestintheGoodsheldbyathirdparty.Non-Disclosure.Allinformation,includingbutnotlimitedto,financialstatements,productinformation,manufacturingcapabilities,passwords,documents,dataandbusinessrecords,whichisdisclosedtoPurchaserbySellerorwhichPurchaserobservesorcomesin
6、tocontactwithduringtheTermofthisAgreement,whethergeneratedbySellerorcontractorofSeller,shallbedeemedConfidentialInformationandthesoleandexclusivepropertyofSeller.PurchasershalltakeallreasonablemeasurestomaintaintheconfidentialityofsaidConfidentialInformationbyitsemployees,agents,representativesandco
7、uriers.PurchasershallnotusetheConfidentialInformationforanypurposesotherthantoperformitsobligationshereunderandshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofSeller.Purchaseracknowledgesthatallright,title,andinterestinandtosaidConfidentialInformation,includin
8、gtherighttoproduce,extract,orexhibitsaidConfidentialInformationtoanythirdpartyandanyintellectualpropertyrightsrelatingtosaidConfidentialInformation,existinSelleronly.PurchasershallreturnsuchConfidentialInformationpromptlyupontheexpirationorterminationofthisAgreement.Warranties.Notwithstandinganylimi
9、tationstothecontraryinSellersinvoiceand/orsalesdocumentation,Sellerexpresslywarrantsthat:allGoodswillconformtothepurchaserrequirementsandanyotherapplicableplans,drawings,specificationsorsamplesfurnishedbyPurchaser,orfurnishedbySellerandapprovedandacceptedbyPurchaser,itbeingunderstoodthatsuchplans,dr
10、awings,specificationsorsamples,areincorporatedbyreferenceandmadeaparthereof;allGoodswillbeofmerchantablequality,fitandsufficientforthepurposeorderedandcommunicatedtoSeller,andwillbefreefromlatentorpatentdefectsinmaterialandworkmanship;allserviceswillbeperformedinaworkmanlike,efficientandsafemanneran
11、dwillconformtostandardsgenerallyacceptedinthetradeorindustryinvolved;allGoodsareandwillbefreefromanysecurityinterest,lien,orencumbrance;Remedies.IfanyoftheGoodsarefoundwithinthewarrantyperiodprovidedintheAppendixtobedefectiveinmaterialorworkmanshiporotherwisenotinconformitywiththerequirementsofthisA
12、greement,Purchaser,inadditiontoanyotherrightswhichitmayhaveunderwarrantiesorotherwise,shallhavetheright,atitsoptiontorevokeacceptance,rejectandreturnsuchGoodsatSellersexpense,inwhicheventconformingGoodsshallbeprovidedbySelleratitscostwithinten( )daysofsuchrevocationandsuchreplacementGoodsshallcarrya
13、warrantyequivalenttothatsetforthintheAppendixrunningfromthedateofPurchasersreceiptofsuchreplacementGoods;ornotifySellerofnoncompliance,defects,ordeficienciesintheGoods,whichSellershallrepairand/orcorrectatSellersexpensewithinten( )daysofsuchnoticeandsuchrepairsshallcarryawarrantyequivalenttothatsetf
14、orthintheAppendixrunningfromthedateofPurchasersacceptanceofsuchrepairedGoods;oruponnoticetoSeller,totakesuchactionsasmayberequiredtocurealldefectsand/orbringtheGoodsintoconformitywithalltherequirementsofthisAgreement,inwhicheventallcostsandexpensestherebyincurredbyPurchasershallbeforSellersaccount,.
15、EffortsbyPurchasertocorrectdefectsordeficienciesshallnotprecludePurchaserfromrevokingacceptanceandrejectingtheGoodsunderthisSectionorapplicablelawwherePurchaserscommerciallyreasonableattemptstocorrectthedefectiveconditionsprovetobeunsuccessful.IntheeventthatPurchaserinvokestheremedysetforthinSection
16、0,PurchasershallcooperateinprovidingreasonableaccesstotheGoods,dataandtechnicalassistance(ifavailable)asrequiredtodevelopandschedulerepairsandrelatedtestingofmodificationsorrepairs,ifnecessary,toassistSellerinitscorrectionofthedefectsordeficienciesintheGoods.Sellerwillschedulerepairstominimizedisruption,lossandinconveniencetoPurchaser,orifrequired,Seller
