1、跨境电商海外直邮合同甲:Party A : .地址:Address:乙:Party B :地址:Address:甲乙双基于公平、 诚信、共赢的原则, 在人民国指定之跨境贸易区域进行跨境电子商务的贸易合作。甲乙双根据人民国合同法 及相关法律法规规定, 签订本跨境电子商务合同 (以下称为“本合同”),以期双共同遵守并执行。Inthe principlesof honesty,fairness, and commonwin,bothparties hereby agree tocarryoutcross-bordere-commerce trade cooperationin freetradezo

2、nes and bonded areasof thePeoples Republic of China.In compliance withthe ContractLaw of the Peoples Republicof China and the relevant laws and regulations, the three parties herein agree to enterinto and sign this Cross-Border E-Commerce Direct mail Agreement (hereinafter referred to as “ the Agree

3、ment ”).基本定义境:人民国(除、澳门、以外)的大陆地区境外: 上述“境”区域以外的地区终端消费者: 直接在电子商务平台上实施挑选, 购买,付款等行为的个人, 是整个商品流通过程最后环节的执行者。跨境电子商务平台: 指跨境通 , 天猫国际,万国优品,京东全球购,乙自有平台等双协商确认的跨境电子商务平台。直邮服务:本协议所指的直邮服务指境终端消费者通过乙在跨境电商平台上开立的虚拟店铺中对甲所有的产品提交订单并向乙完成支付,乙以此作为终端消费者向甲进行某特定产品购买的邀约。付款渠道:指终端消费者在乙经营的跨境电子商务平台购买货物后,将款支付至乙账户或其他第三账户的式 ( 包括但不限于支付宝,

They are the laststep of the whole commodity cir

5、culation.Cross-border e-commerce platform:the cross-border e-commerce platforms such as KJT,Tmall Global, WGYP, JD Global and the cross-boarder e-commerce platform owed by party Band other platform that have been agreed upon by both parties.DirectMail Service:The “ directmail service“ mentioned here

6、 means thatin the mainlandof China, in regard to products owned by Party A, consumers place order(s) and settlepayment to PartyB through online stores incross-bordere-commerce platforms that ownedby Party B, which can be regarded as a buyer-seller relationship between Party A andconsumers.Types of P

7、ayment: the way or method thatconsumer pay forgoods on e-commerce platform(s)managed by Party B to Party Bs account or other third Partys account (including butnot limited to Alipay, Wechat Pay and credit card, etc.)1.授权经销Authorized Distribution1.1.甲在此授权乙作为(见附件)品牌(在以下简称为“合作品牌”)商品的授权直邮服务提供商,在甲指定的跨境贸易

8、区域或跨境电子商务销售渠道中(以下简称“销售区域”)根据甲指令代理甲运作维护其拥有的合作品牌商品。Party A herein authorizes Party B as the authorized direct mail service providerfor (see appendix) brand (hereinafterreferred to as “CooperatingBrand”) to sellits (their) commodities on behalf of Party A according to Party As instructionin the cross-b

9、ordertradeareasor cross-bordere-commercesaleschannels(hereinafterreferredto as the“ Sales Area ” ) PartyB acts as anagency, runs andmanages CooperatingBrand productsowned by PartyA accordingtoParty Asinstructions.1.2.甲负责根据乙提交的境终端消费者的订单需求,由甲在约定的时间以合适、合理的国际快递的式安排发送货物至终端消费者。乙负责将产品的境终端消费者的订单需求依据本协议约定提供给

10、甲;甲保留货物的所有权, 直至消费者完成签收货物,货物所有权由甲直接转移至境终端消费者;货款由境终端消费者支付给乙,并由乙根据本协议约定支付给甲。Party A should send goods to consumers through reasonable and proper internationalexpress within due-time according to the information of consumers purchase orderoffered by Party B. Party B should convey the purchase order info

11、rmation to PartyA;The products belong to Party A until consumer(s) receive the goods, the productproperty right transfers from Party A to end-user consumers;end-userconsumers pay money to PartyB and then PartyB pay to PartyA by convention.word 资料.1.3.甲应当提供产品的宣传资料给乙,以便乙在其店铺中对产品进行推广。甲对于提供的宣传资料的真实性、有效性

12、、合法性负全部责任。PartyA shouldofferproductpublicitymaterialsto PartyB thatPartyB may conductsalespromotioninitsstores.PartyA takesfullresponsibilitiesfortheauthenticity, effectiveness and validity.1.4.如乙因商品(包括但不限于交付时间和地点、质量瑕疵或权利瑕疵等问题)遭受索赔或处罚的,甲应当赔偿乙遭受的一切损失。其他消费者纠纷,由甲乙双协商解决。若需要,在甲要求下,乙可以提供便利与支持。If there occ

13、urs consumption dispute or complaint caused by productsquality ortransportation, Party A is obliged to solve the dispute and Party B is obliged tocooperate with Party A if Party A delegates the authority to Party B;If there occurs other consumption dispute, the dispute should be settled throughnegot

If requires, under the request of PartyA, Party B shall offer convenience and support.1.5.双之间仅限于商品直邮服务的关系,为互相独立的合同缔约双。甲为产品的拥有,承担与营销对应产品相关的一切责任和费用,乙仅基于本协议项下约定提供与直邮有关的服务,不对产品主所有权,其所有与对应产品运维及销售有关的行为都应当在甲授权下开展。Both partiesaremutuallyinterdependentpartiesof thisAgreementandtheirrelationship is limited to product direct mail service.
