3、n the stipulated time. 甲方应当逐步交付系统并依据甲方设定、乙方同意的计划表和装配进度表设计、 采购、制造及供应机械和设备，以确保乙方能够在规定的时间内开始商业性生产。 c.While preparing the delivery schedule, the party A shall ensure that the equipment and machinery are delivered in sequence of priority so that the items which have to be installed first and with the sam

9、nd experts having adequate knowledge for the installation of machinery and to provide the process knowledge to the Party B i.e. running and maintenance of the plant & machinery and manufacturing of various grades of MTM-181. The necessary cost like air fare, boarding, food and other expenses incurre
10、d towards installation and commission of plant and machinery in India will be borne by Party B. 甲方应当指定其富有机械安装知识的工程师和专家作为代表，向乙方提供程序知识。例如，设 备和机械的运行和维护，制造各种等级的 MTM-181 所需的知识。诸如机票、膳宿和其它有关 在印度对设备和机械进行安装和投产所发生的费用支出由乙方承担。 5.DELIVERY 交付交付 Party A shall start manufacturing/ procuring necessary plant and mach
11、inery upon receipt of advance payment of 25% and shall arrange to supply / despatch all the plant and machinery as per annexure A within 3 months. 甲方应当在收到 25%的预付款之后开始生产/采购必要的设备和机械，并在三个月内按照附件 A 的规定提供/发送所有的设备和机械。 6.VALIDITY OF AGREEMENT 协议有效期协议有效期 The agreement, when duly signed by both the parties co
12、ncerned, shall remain in force till the final completion of the contract i.e. commissioning of Plant and trial production of MTM -181. 本协议在双方签署之后生效，其有效期应持续到合同结束为止，即完成设备投产和 MTM-181 试生产。 7.TERMINATION 合同终止合同终止 During the validity of the agreement, if the party is found to have violated the provisions
13、herein, the other party shall have the right to terminate the agreement. www.paper- 在协议有效期内，如果一方被发现违反了本协议的规定，另一方有权终止本协议。 8.FORCE MAJEURE 不可抗力不可抗力 Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, drought, wa
14、r or any other event which could not be predicated, controlled, avoided or overcome by the relative party. 因洪水、火灾、地震、干旱、战争或任何相关方所无法预料、控制、避免或克服的事件，而导 致协议部分或全部责任的失败或迟延，任何一方均无需承担法律责任。 9.ARBITRATION 仲裁仲裁 All disputes arising from the performance of this agreement shall be settled through friendly negoti
15、ation. If the parties fail to arrive at any settlement through friendly negotiation, the parties may resolve the issue through arbitration. Each party shall have the right to appoint an arbitrator for the settlement of the dispute. If one party has appointed an arbitrator and the other party has not, or if the appointed arbitrators have not appointed any presiding arbitrator, then the matter shall be refereed to the courts in Delhi (India). 所有履行本协议过程中发生的争议，都应当通过友好协商予以解决。如果双方未能通过友好协 商解决争议，则双方可以通过仲裁来解决。各方均有权就争议之解决而指
