4、Party A wishes to utilize the know-how possessed by Party B to manufacture, sell and export the contract products;甲方同乙方经过友好协商，同意按下列条件及条款签订本技术进口合同，并遵照执行。 Party A and Party B held friendly discussions and have concluded under the following terms and condition this contract to observe.第一章 定 义 Chapter l
5、 Definitions11“专有技术” ，原指生产合同产品，甲方所需要的乙方所拥有和提供的全部生产技术及 加工工艺。该生产技术和加工工艺包括全部设计、制造、操作图纸及技术资料、制造工艺、 生产程序和生产技术细节。 Know-how shall mean all the manufacturing technology and process engineering to manufacture the contract products which are required by Party A and which Party B possesses. Such technology eng
6、ineering shall include technical details of all designs, operation drawings, technical documentations, manufacturing engineering, procedure and techniques.12“合同产品” ，指 产品，该产品符合本合同附件一所规定的技术条件和技 术标准。也即甲方按照乙方提供的专有技术及设备进行制造和生产的产品。 Contract products shall refer to products which are in conformity with the
7、 technical specifications and standards as specified in Appendix I of this contract, e. g. the products manufactured by Party A with the know-how and equipment supplied by Party B.13“技术资料” ，指制造合同产品所需要的全部“专有技术” ，以及乙方在生产合同产品 的过程中，所使用的全部有关设计和制造图纸，加工技术和工艺文件等资料。具体内容及 要求详见本合同附件二。 Technical Documentations
8、shall mean all the know-how necessary to manufacture the contract products and all the designs, drawings, processing techniques, and engineering documents, etc. that Party B uses in manufacturing the contract products. The contents and requirements of such technical documentations are set forth in A
9、ppendix 2 of this contract.14“考核产品” ，指甲方用乙方提供的专有技术和专用设备所生产和制造的合同产品。该 产品经过验证符合并且达到本合同附件一所规定的技术条件和技术标准。 Test Products shall mean the contract products manufactured by Party A with the know - how and special equipment supplied by Party B which, when tested, shall meet the technical specifications and s
10、tandards as specified in Appendix l of this contract.15“工艺文件” ，指生产合同产品所需要的全部加工方法、加工手段、工艺过程卡片、工 艺图纸、工序卡片等全套资料。具体内容详见本合同附件二。 Engineering Documents shall mean the complete set of processing methods, means of processing, engineering cards, drawings, work procedures, etc. which are necessary to manufactu

Details are set forth in Appendix 2 of the contract.16“工艺守则” ，指生产合同产品的全部生产和加工过程所必须遵循的原则。 Engineering Regulations shall mean those regulations which should be followed when manufacturing and processing the contract products.第二章 合同内容和范围 Chapter 2 Contents the detailed list of
12、 such technical documentations and the airmail of lading in four copies respectively.（2）乙方说明按本合同附件二规定，应于合同生效后二个月内交完所有技术文件的确认函 正本一份。 One original copy of the letter of confirmation of Party B to complete the technical documentations as specified in Appendix 2 of the contract within 2 months after the
13、 contract takes effect.（3）即期汇票正、副本各一份。 Sight draft one original and one copy.（4）金额 美元的商业发票四份。 Commercial invoice of US in four copies.422 合同总值 美元的百分之 （ ）计 美元，甲方在收到全 部技术文件及技术培训开始前 15 天内用 MT 信汇方式支付给乙方。% of the US contract price amounting to US shall be paid by Party A to Party B by M/T after Party A h
14、as received all the technical documentations and 15 days prior to the technical training.423 合同总值 美元的百分之 （ ）计 美元，甲方在完成设备 安装、调试合格、正式投入生产、生产出合格产品，双方签署了合格证书、并在收到乙方 的下列单据后，经审查无误，三十天内以 MT 信汇方式支付给乙方：% of the US contract price amounting to US shall be paid by Party A to Party B by M/T after in installation
