1、AssetsTransferAgreement thisassetstransferagreement(thisagreement)ismadebetweenandbythefollowingpartiesinbeijingon,(m,d,y). partya:aaaco.,ltd. address: partyb:bbbco.,ltd. address: whereaspartyaagreestoassigntopartybtheassetsconcernedtopartybandpartybagreestoacceptthesaidassets;therefore,thepartiesre
2、achthefollowingagreementthroughfriendlyconsultations: article1 partyaagreestoassigntheassetslistedinattachmentiofthisagreement,andpartybagreestoaccepttheforegoingassets. article2 thepartiesagreethatpartyawillpletealltheproceduresnecessaryforthetransferoftheassetslistedinattachmentiheretofrompartyato
3、partybwithinuponexecutionofthisagreement(excludingthedayofexecutionforthisagreement),whichincludebutarenotlimitedtothehandoverofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable). article3 partybwillpaypartyaanassignmentfeeoffortheassetsassignedbypartya. articl
4、e4 thepartiesagreethatthetitleoftheassetslistedinattachmentiheretowillbetransferredtopartybontheuponexecutionofthisagreement.partyashallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinattachmentiheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedb
5、eforeorafterthetransferofsuchtitle),forwhichpartybshallbearnoliabilitiesandobligations.incasepartybdoesnotreceivetheforegoingassetswithinuponexecutionofthisagreement,partyashallpensatein. article5 representationandguarantee 5.1partyrepresentsandguaranteesasfollows: (a)partyaisapanyincorporatedandval
6、idlyexistingpursuanttothechineselaws; (b)byexecutingandperformingthisagreement,partyadoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement;and (c)partyaisentitledtotheownershipoftheassets
7、listedinattachmentiheretoandhasnotplacedmortgageoranythirdpartysinterestsagainstsuchownership,nordoesitimposeanyobstacletopartybfortheobtainmentofthetitleofsuchassets. 5.2partybrepresentsandguaranteesasfollows: (a)partyaisapanyincorporatedandvalidlyexistingpursuanttothechineselaws;and (b)byexecuting
8、andperformingthisagreement,partybdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement. article6 liabilityforbreachofagreement 6.1ifonepartytothisagreement(thebreachingparty)failstoimplem
9、entitsobligationsunderthisagreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithinuponreceiptofawrittennoticebytheotherparty(thenonbreachingparty)forsuchcorrectionwithinthestipulatedtime,thenonbreachingpartyhastherig
10、httoterminatethisagreementandclaimpensationfromthebreachingpartyforthelossessustainedtherefrom. 6.2ifpartyaviolatestheprovisionsofarticles2and5ofthisagreement,partybhastherighttoseekreturnofallthepaymentandapenaltyequaltoofthetotalpricefrompartya. article7 settlementofdispute anydisputearisingoutofo
11、rinconnectionwiththisagreementshallbesettledbythepartiesthroughconsultations.ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetochinainternationaleconomicandtradearbitrationmissionforarbitrationinbeijingaccordingtoitsvalidrulesofarbitration.thearbitrationawardisfinalandshallbeb
12、indingovertheparties. article8 forcemajeure aforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovereatthetimewhenthisagreementisexecuted.anypartytothisagreementshallnotbeartheliabilitiesforbreachofthisagreementifitispreventedfromimplementingallorany
13、partoftheresponsibilitiesassociatedwiththeprovisionsofthisagreement.thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithinafteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan. article9 transferofagreement nopartyshalltransferitsrightsan
14、dobligationsunderthisagreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting. article10 separabilityofagreement ifanyarticleorsectionofthisagreementbeesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections. article11 amendmentandsupplementofagreement the
15、partiesmayamendorsupplementthisagreementinwriting.theamendmentandsupplementtothisagreementshallconstituteaninseparablepartofthisagreementandbeequallyauthentictothisagreement. article12 miscellaneous 12.1thisagreementshalletoforceuponexecutionbytheauthorizedrepresentativesofthepartiesandfixationoftheirofficialsealsasofthedatefirstseeninthisagreement. 12.2thisagreementhastwooriginalcopies,ofwhicheachpartyholdsone,andtheyareequallyauthentic. partya:aaaco.,ltd.
