3、yAsconstructionprojects,trade,investment,andotherrelatedbusinessesinIndonesia,BothPartieshavesignedastrategiccooperationagreementandherebyagreetoabidebyit.I. GeneralProvisions1.1. Onthebasisofmutualbenefit,BothPartiesagreetoformalong-termstrategicpartnershipinordertofullyexertPartyAsstrengthsinleadi
4、ngthe“gointernational”platformforChongqingenterprisesandPartyBsresourcesadvantagesinIndonesia,topromotePartyAsinvestment,trade,constructionprojects,andotherareasofeconomicandtechnicalcooperationinIndonesia,andtofurtherenhancePartyAsmarketdevelopmentcapabilitiesinlinewithChongqings“gointernational”ec
5、onomicdevelopmentstrategy.1.2. ThisCooperationAgreementisaframeworkdocumentwhichoutlinestherightsandobligationsofBothPartiesinprinciple.AspecificbusinessagreementandcontractsignedbyBothPartiesshallbeestablishedinaccordancewiththeprinciplesofthisAgreement.1.3. SpecificbusinessundertheframeworkofthisC
6、ooperationAgreementshallbesetinaseparateindividualcontract.IfthereisanyinconsistenciesbetweenthisAgreementandtheindividualcontracts,thentheindividualcontractsshallprevail;MatterswhicharenotsetintheindividualcontractsshallbeapplicabletothisAgreement.II. StrategicCooperationMethodAccordingtothesituati
7、onofIndonesianmarketandPartyAsdemand,PartyBshallrecommendtoPartyAconstruction,trade,investmentprojectsthatissuitableforPartyA,andassistPartyAinfollowingupthemarketresearch,informationgathering,feasibilityanalysisanddemonstrationrelatedtothespecificprojects,assistincontactingandcoordinatingwithreleva
8、ntgovernmentdepartments,othercompanies,andintermediaries,inordertofacilitatePartyAinfollowinguptheimplementationofrelatedprojects.Accordingtotheactualsituationoftheproject,PartyAshallpayservicefeetoPartyBinaccordancewithPartyBsservicecontentsandthecontractforspecificprojectsagreedbyBothParties.OrBot
9、hPartiescanestablishajointventuretoinvestandmanagespecificprojectsanddistributetheprofitsaccordingtotheagreedproportion.Onthebasisofprojectcooperation,BothPartiescanalsosetupajointbusinessventureinaccordancewiththerelevantlawsandregulationsinIndonesiatofurtherdeveloptheIndonesianmarket.III. 10、icAreaofCooperationIndonesianregions;whentheconditionsareready,bymutualagreementofBothParties,theareacouldbeextendedtothesurroundingregions,i.e.Malaysia,Philippines.IV. ContentofCooperation4.1. ConsultationonInvestmentProjectsinIndonesia4.1.1. CollectinformationoninvestmentinIndonesiaforPartyA,assis
11、tinconductingtheIndonesianmarketresearchanalysisandinvestmentfeasibilitystudies,andusePartyBsresourcestoacquireprojects.4.1.2. AssistPartyAincompletingthereviewandapprovalofinvestmentprojectsinIndonesiaandotherprocedures,coordinatingwithrelevantinstitutions,obtainingapprovalsfromauthorizedIndonesian
12、governmentagencies.4.2. IntermediaryAgencyServicesforprojectcontractinginIndonesia4.2.1. PartyAconsentsPartyBtoactasPartyAsrepresentativeinIndonesiatodevelopconstructionprojectsinIndonesia,collectinformationonconstructionprojectsinIndonesiaforPartyA,conductmarketresearchanalysisanddemonstrationandsc
13、reeningtheconstructionprojectsinIndonesian,assistPartyAincompletingthepreparationoftenderdocumentsandparticipateintenders,andusePartyBsresourcestoacquireprojects.4.2.2. AssistPartyAinhandlingprojectrelatedmattersduringconstruction.4.3. InternationalTradinginIndonesia4.3.1. PartyBshalluseitsresources
14、inIndonesiatoprovideinformationoninternationaltradingforPartyA,assistPartyAinconductingbusinessnegotiationswithrelevantIndonesiancompanies;4.3.2. PartyBshalluseitsresourcesinIndonesiatoassistPartyAindeveloping,constructing,andmanagingregionalmarketsorspecialtymarketsinIndonesia,andassistinobtainingr
15、elevantapprovalprocedures,coordinatingandhandlingtherelationshipwithgovernmentagenciesandotherrelevantpartiesduringthedevelopment,construction,andoperation.4.4. JointInvestmentandDevelopmentTosetupajointbusinessventureinaccordancewiththerelevantlawsandregulationsinIndonesia,wherePartyAisthecontrolli
16、ngshareholderandPartyBistheparticipatingshareholder.BothPartieswilljointlydevelopprojectsapprovedbyBothParties,onbusinessfieldsagreedbyBothParties,andinthemarketscopeaccordingtogeographicaldivision.V.
