FPT在线服务股份公司有主营业地是越南(以下简称“FPT在线”)Whereas:The Distributor has had granted to distribute and provide the Vietnamese version of “zhanjiangwuer” by Hangzhou Bingchuan science and technology Co. Ltd , details:经销商已获授权可以分包，并由杭州冰川科技有限公司提供越南版的“战将无二”，其详细信息如下：Name of Product: zhanjiangwuerTy
5、pe: SLG Turnbase Name of Producer: Hangzhou Bingchuan science and technology Co. Ltd (hereinafter referred to as “Product”).(B) The Distributor desires to increase its awareness, gain shares, and derive revenues from a potential global market.(C) The FPT Online desires to operate, promote, publish,
6、produce, use, sell, and provide the Product in the Territory.(D) The Distributor grants the Licensee permission to market, promote, and use all of the Product and trademarks, logo and any other related Intellectual Property Rights as permitted by Licensor on case by case basis within the Territory a

8、义Unless the term or context of this Agreement otherwise require, the capitalized terms used in this Agreements shall have the meanings as follows: 除非本协议另有约定，协议中所使用的大写术语具有含义如下：1.1 “Distribitor” means YoYo Tech Enterprise Co.,Ltd(Taiwan) 1.1“经销商”是指YOYO科技企业有限公司(台湾)；1.2 “FPT Online”means FPT Online Serv
9、ice Joint Stock Company;1.2“FPT在线”是指FPT在线服务股份公司；1.3“Territory” means the Socialist Republic of Vietnam.1.3“领域”是指越南社会主义共和国；1.4 “Product”means computer programs of online game called of “zhanjiangwuer ” and includes all rights necessary to commercially use the Product in the Territory. The Product sha
10、ll be secure and in acceptable working order in Vietnamese version and shall mean the Close Beta version, Open Beta version, Commercial version, Documentation and those Upgrades as selected by Distributor and Producer of the part of “zhanjiangwuer ” in object code form that is designed to be service

FPT Online shall not use New Title in a manner that falls outside the scope of this Agreement without the prior written approval of FPT Online,1.4 “产品”是指电脑在线游戏“战将无二”及其在领域内商业使用所必须包括的所有权利。产品应在可接受的工作秩序安全，包括经销商和生产商选定的越南版本和秘密Beta版、公开Beta版、商业版、文档以及更新版，以目标代码的形式在领域内提供服务。FPT在线在未获得书面许可前不得使
12、用新标题的方式超出本协议的范围。1.5 “Character Business” means all commercial activities using the characters of the Product.1.5 “商业字符”是指所有的商业活动中使用的产品字符。1.6 “Working Days”means week days from Monday through Friday (exclusive of Saturday and Sunday and any other national public holidays) in the Territory.1.6“工作日”是指从
13、周一到周五的工作日(不包括星期六和星期天以及越南国家的公共假期)。1.7 “Delivery”means the physical or electronic delivery (as the case may be) of the required materials by the Delivery Date for the service of the Product.1.7“交付”是指产品交付期限内应提供的有形的或电子的交付资料(视情况而定)。1.8 “Documentation”means the documentation and operating instructions for
14、 the Product, and the Upgrades thereto as provided by 1.8“文档”是指产品相关的文档和操作指令，以及其更新版的内容。1.9 “Error”means a serious defect in the Product during this agreement term including but not limited to:(a) Inability to perform repeatedly without interruptions, loss of data, or erroneously or exception thrown;
15、Instability on Product Client or Server, program crashed or halted.1.9“错误”是指合同条款中的产品严重缺陷，包括但不限于：(a)无中断时的无法执行多次、数据丢失或错误或异常；(b)产品客户端或服务器的不稳定,程序崩溃或停止。1.10 “Rights” means the rights stated in Clause 2.1.10 “权利”是指协议第二条规定的权利。1.11 “Gross Sales Revenue”means the amount acquired by FPT Online in the distribution of cards, game points, cash collection, CD Roms, IGA, Product Accessories and Product Packs of the Product in the Territory from the date of commercial service where it shall mean the amount of the actual retail price (or the face value of the pre-paid ca
