1、服务协议ServiceContract甲方：XXX有限公司PartyA:法定代表人：LegalRepresentative:住所：Domicile:由B编(Postcode:联系电话(TelephoneNo):乙方：PartyB:负责人：HeadofUnit:家庭住址：HomeAddress:由B编(Postcode:联系电话(TelephoneNo):鉴于甲方业务的需要，需要乙方为甲方提供特定服务。根据中华人民共和国民法通则、中华人民共和国合同法和有关规定，甲乙双方经平等协商一致，自愿签订本服务协议，共同遵守所列条款。Intermsofthebusinessneeds,PartyAwants
2、PartyBtoprovideservicesforPartyA.PursuanttoGeneralPrinciplesoftheCivilLawofthePeoplesRepublicofChina,ContractLawofthePeoplesRepublicofChinaandotherrelevantregulations,PartyAandPartyB(collectivelyreferredtoastheParties)havewillinglyenteredintothisServiceContract(hereafterreferredtoastheContract)after
3、equalconsultationandmutualagreementsandshallcomplywithit.第一条服务内容根据甲方业务需要，乙方同意向甲方提供与XXX相关的各种服务。Clause1:ServiceContentAccordingtothebusinessneedsofPartyA,PartyBagreestoprovideservicestoPartyAconcernedwith.第二条期限本服务协议约定的期限为个月，自年月日起至年月日止。Clause2:TermoftheContractTheContractwillbevalidfrom/(M/D/Y)to/(M/D/
4、Y),aperiodlastingformonths.第三条双方权利义务Clause 3: RightsandObligationsoftheParties3.1 乙方保证其为甲方提供服务的人员合法就业并具有符合服务要求的专业技能，遵守甲方的规章制度，按照甲方的要求和标准完成服务协议，并接受甲方的检查考核。3.2 PartyBpromisesthatthelaborswhowillprovideservicesforPartyAhavelegalworkandqualifiedskillsforfinishingtheservices.PartyBpromisesthatthelaborssh
5、allabidebyregulationsofPartyA,finishtheservicesandreceivetheinspectionofPartyAaccordingtorequirementsofPartyA.3.3 甲方为乙方提供安全的工作环境，乙方人员在服务过程中应严格遵守甲方的安全操作规定，乙方人员因违反安全操作规定故意或过失导致受伤的，所有责任由乙方自己承担。3.4 PartyAshallprovidesafeworkingenvironmentforPartyBandPartyBshallabidebysafeoperatingregulationsofPartyA.Inc
6、asethatlaborsofPartyBviolatesafeoperatingregulationsintentionallyornegligentlyandbeinjured,PartyBshallburdenallresponsibilities.3.5 乙方工作时间根据甲方需要确定。3.6 TheworkinghoursofPartyBisimplementedbyPartyAaccordingtothebusinessneeds.3.7 乙方在为甲方提供服务中知悉的甲方商业秘密，不得提供或泄露给任何第三方。3.8 PartyBshallnotdisclosetoanythirdpa
7、rtyanyconfidentialinformationobtainedbecauseofservicesinPartyA.3.9 甲方按照乙方提供的服务，向乙方支付服务费。3.10 artyApaysserviceremunerationtoPartyBfortheservices.第四条服务费支付Clause 4: PaymentofServiceRemuneration4.1 甲方支付乙方服务费的标准、方式、时间：4.2 PartyApaysserviceremunerationtoPartyBasthefollowingstandards:4.3 如需调整服务费，甲乙双方另行约定。4
8、.4 TheremunerationmaybeadjustedbyotheragreementsofbothParties.第五条合同的终止与解除Clause 5: RescissionandTerminationoftheContract5.1本合同期满如双方未续签，则合同自行终止。双方应及时办理交接手续。5.1IfbothPartiescannotagreetorenewtheagreement,theContractterminatesautomaticallywhenitexpires.BothPartiesshallimplementhandoverprocedures.5.2甲方有
9、权视业务需要及乙方服务情况等随时解除本合同，甲方不向乙方支付任何补偿。5.2PartyAisentitledtoterminatetheContractwheneverbasedonthebusinessneedsandperformanceofPartyB.PartyAburdensnoresponsibilitytopayanyfinancialcompensationtoPartyB.5.3本合同终止或解除后，双方应及时办理交接手续。5.3BothPartiesshallimplementhandoverproceduresafterrescissionorterminationofth
10、eContract.第六条违约责任Clause 6: ResponsibilityofDefault6.1 乙方未按照甲方要求提供相应服务的，应按照服务费金额的当向甲方支付违约金。6.2 IncasethatPartyBprovidesservicesoutofaccordancewiththerequirementsofPartyA,PartyBshallpayliquidateddamagestoPartyAattherateofoftheserviceremuneration.6.3 甲方不按照本合同约定日期向乙方支付服务费的，每拖欠一日按照拖欠金额的向乙方支付违约金。6.4 Incas
11、ethatPartyApaysserviceremunerationoutofaccordancewiththedateagreedintheContract,PartyAshallpayliquidateddamagestoPartyBattherateofofarrearsperlateday.6.5 乙方在提供服务中因故意或过失给甲方造成损失的，按照损失的金额据实赔偿。6.6 IncasethatPartyBcausesdamagestoPartyAbecauseofintentionornegligenceinservices,PartyBshallcompensateaccordin
12、gtothedamages.第七条争议解决应当通过协商解决。协商不成的,甲乙双方在履行本合同过程中发生争议的,任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。Clause 7: SettlementofDisputesIncasethatanydisputesarisefromtheperformanceofthisContract,suchdisputesshallbesettledthroughconsultationsfirst.Incasethatnoconsultationscanbereached,eitherpartycanfilealawsuitunderthejuris
