3、fidential informationto the other Party. 2、信息接受方方:在本协议中是指保密信息的接收方。 Information Receiver:In thisagreement,it meansthe Partywho receiveconfidential informationfrom theother Party. 二、保密信息的组成Article2:Composition ofConfidential Information本协议所称保密信息是指由信息披露方提供给信息接受方的任何与信息披露方经营业务或行为有关的、信息披露方尚未公开的信息，无论该信息采用何
4、种形式提供给信息接受方，保密信息接受方或其工作人员均应合理认为其为保密信息。 Confidential Informationreferred inthis Agreementmeans any information providedby information discloser to the information receiver whichis relatedto thebusiness oractivity of the information discloser oranyinformationthat hasnot beenpublicized by the informati

6、ion保密信息不包括以下内容:Confidential Informationshall excludethe followinginformation: 1、在信息披露方将信息提供给信息接受方之前，信息接受方；已知道的信息；Any informationwhich has been knownby the information receiverprior to the provisionof saidinformation by the information discloser to the information receiver; 2、信息接受方没有违反本；协议的情况下，已被公众知晓
7、或广泛使用的信息；the informationalready knownor usedby thepublic withoutthe receiverbreaching this Agreement; 3、信息接受方从第三方处正当获得或接收到的不受保密限制的信息；the informationnot limitedby the confidentiality requirementwhich thereceiver obtainsor receiveslegally fromthe thirdparty 4、没有违背协议的情况下信息接受方独立研发获得的信息；the informationth
8、at thereceiver independentlydevelops withoutviolating theAgreement; 四、保密义务Article4Confidential Obligation:1.双方及其工作人员应对上述所有保密信息进行严格保密；The Partiesand thepersonnelof the Partiesshall keepthe above-mentioned informationstrictly confidential;2.信息接受方应只允许那些有必要了解保密信息并且被告知且同意遵守保密义务的职员和专业顾问获得保密信息；The informat
9、ion receiver shallonly allowthe obtainingof the Confidential Informationby theemployer andprofessional adviserwho hasthe necessityto knowtheConfidential Information and hasbeennotified andagreed to abide bythe confidentialobligation;3.非经披露方，书面同意，信息接受方不能向任何第三方公开、复制、销售、出租、出借、转让、传播、泄露或透露保密信息。 信息接受方档所提供
10、的信息仅供参考之用，不能作为科学依据，请勿模仿。 文档如有不当之处，请联系本人或网站删除。 旦发生丢失、被盗、烧毁等会引起保密信息泄露或销毁的行为和事故，应承担全部责任；Unless with the writtenconsent of the information discloser,the information receiver cannotpublish,copy,sell,rent,transfer,promulgate,let out,disclose orreveal theconfidential information.If information receiver enc
11、ountersloss,theft,damage orany actionor aidentthat maycause theconfidential informationrevealed ordamaged,the informationreceiver shall take allresponsibilities;4.在本协议终止后，双方仍需遵守本协议之保密条款，履行其所承诺的保密义务，直到信息披露方同意其解除此项义务，或事实上不会因信息接受方违反本协议的保密条款而给信息披露方造成任何形式的损害时为止。 After this Agreement terminates,the Partie
12、sshall continuetoabidebythe confidentiality articlesof thisAgreement andshall performtheconfidentialityobligation whichthePartieshave promised,until the informationdiscloseragrees torelease the informationreceiverfrom suchobligation,or infact thedefault of the informationreceiver willnot bringany da
13、magein anyform to the informationdiscloser. 五、公开要求Article5Requirement ofpublication在司法或政府部门指令、要求或命令信息接受方公开保密信息的情况下，信息接受方能够向上述部门披露保密信息。 但是，在法律允许的情况下，信息接受方在披露保密信息前必须采取合理的措施通知信息披露方以便对该指令、要求或命令进行抗辩。 Under thecircumstances ofjudicial orgovernmental organsinstruction,requirement ororder whichrequires info

15、mationso that the informationdiscloser candefend suchinstructions,requirements ororders. 六、信息归还与销毁本文档所提供的信息仅供参考之用，不能作为科学依据，请勿模仿。 文档如有不当之处，请联系本人或网站删除。 Article6Return andDestroy ofthe Information双方同意，发生下列情形之一:1.当当信息接受方不再需要保密信息用于该工作目的时；2.双方未能就本项目达成正式的合作协议时；3.双方就本项目签订的正式合作协议履行完毕；4.任何时候收到信息披露方书面形式做出要求时；5
