1、PLANTCONSTRUCTIONCONTRACT article1definitions theownershallmean. thecontractorshallmean. theplantshallmeanalloranypartofthemachinery,equipmentandmaterialsformingthepermanentinstallationasspecifiedinappendix. thesiteshallmeanallthelandwheretheplantistobeconstructedinaccordancewiththiscontract. thewor
2、ksshallmeantheworkstobedonebythecontractorunderthiscontract. thecontractpriceshallmeanthetotalsumpayabletothecontractorbytheownerfortheworks. article2contractorsresponsibilities 1.thecontractorshalldesign,engineer,andconstructtheplantatthesite. 2.thecontractorshallprovideallequipment,materials,tools
3、,facilities,labourandservicesnecessaryforthesuccessfulconstructionoftheplantexceptthoseitemsandfacilitiestobesuppliedbytheownerunderarticle. 3.thecontractorshallperformtheworksinaccordancewiththescheduleinappendix. 4.thecontractorshallprovidetheownerspersonnelwithtrainingofperationandmaintenanceofth
4、eplantinaccordancewithappendix. 5.thecontractorshallsupplytheownerwiththesparepartsspecifiedinappendix. 6.thecontractorshallsupplytheownerwiththemaintenanceequipmentspecifiedinappendix. article3ownersresponsibilities 1.theownershallmakeavailablethesiteandgrantthecontractorfreeanduninterruptedaccesst
5、heretothroughoutthedurationofthiscontract. 2.theownershallprovidethoseitemsandfacilitiesspecifiedinappendixatthetimethereinestablished. 3.theownerwillobtainfromtherelevantauthoritiesthoselicensesandpermitsnecessarytoconstructandoperatetheplantonthesiteincludingworkpermitforthecontractorsemployees. 4
6、.theownershallpaythecontractorfortheworksperformedthecontractpricesetoutinarticle. article4contractprice 1.withindaysaftertheeffectivedateofthiscontract,theownershallpaythecontractorasfullandpletepensationforacplishingtheworksandassumingallobligationsunderthiscontractthecontractpriceintheamountof. 2
7、.thecontractpriceisnotsubjecttoescalation,andthecostofexecutingheworksshallbetheriskofthecontractorwhoshallbedeemedtohavebtainedallinformationandtakenintoaccountallcircumstanceswhichmayaffectthecostinagreeingthecontractprice. article5drawings 1.thecontractorshallsubmittotheownerforapprovalandrevieww
8、ithinhetimespecifiedinappendixsuchdrawingsasmayberequiredforconstructionoftheplantunderthiscontract.withinonemonthafterreceivingsuchdrawingstheownershallreviewandapproveordisapprovethedrawing. 2.thecontractorshallberesponsibleforanydefects,errorsoromissionsintheabovedrawingsunlesssuchdefects,errorso
9、romissionsarecausedbyinaccurateinformationfurnishedinwritingtothecontractorbytheowner. 3.alldrawingsandtechnicaldocumentationdeliveredbytheownerorthecontractortotheotherpartyshallbetreatedasconfidentialbythereceivingpartyunlessagreedotherwise,andshallnotbeusedbythatpartyforpurposesotherthanthoseconn
10、ectedwiththiscontract article6inspection 1.thecontractorshallperformallinspectionandtestingoftheplantrequiredbylawandnormalengineeringpractice. 2.theownershallbeentitledatallreasonabletimesandatitsowncosttoinspect,examineandtestthematerialsandworkmanshipoftheplantunderconstruction.suchinspection,exa
11、minationortestingifmadeshallnotreleasethecontractorfromanyobligationunderthecontract. 3.thepletedplantshallbeinspected,examinedandtestedbytheowner,andthecontractorshallgivetheownerreasonablenoticeinwritingofthedateonwhichtheplantwillbereadyfortesting. 4.thecontractorshallprovidesuchassistance,labour
12、,materials,electricity,fuels,apparatus,storesandinstrumentsasmayberequiredandasmaybereasonablydemandedtocarryoutsuchtestsbytheownerproperlyandefficiently. 5.whentheplantshallhavepassedtheabovetests,theownershallfurnishthecontractorwithacertificateinwritingtothateffect.noplantshallbedelivereduntilany
13、faultsdiscoveredduringinspectionaresatisfactorilyrectified. article7inspection 1.thecontractorshallprovideatthesitetothereasonablesatisfactionoftheownerallmaterials,labour,equipment,servicesandfacilitiesthatmaybenecessaryfortheproperexecutionandpletionoftheworks. 2.withoutprejudicetothegeneralityoft
14、heabove,thecontractorshallprovide,asmaybenecessary,thefollowing: a.constructionequipment. b.meansoftransportwithinthesiteincludingtemporaryroadways. c.fencing,lightingandguardingandallothermaterialsandservicesnecessaryforthesafetyandsecurityofpersonsandproperty. d.temporarystores,officesandotherbuil
15、dingsorstructuresformaterialsandpersonsengagedinthewords,includingpersonsemployedbytheowner. e.telephones,firefightingequipmentandfirstaidequipmentuntilthewholeworkshavebeentakenover. f.sanitaryandcanteenfacilitiesfortheuseofpersonsengagedintheworks. 3.thecontractorshallobserveallsafetyandotherregulationsimposedonthesitebylocallaws. 4.thecontractorshallatalltimeskeeptheownerspropertyandtheadjoiningpremises,drivewaysandstreetsfreeofconstructionmaterialsandrub
