4、或间接地通过乙方以外的渠道向代理区域顾客销售或出口甲方产品第一条所列商品或服务。In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity or service stipulated in Article 1 to customers in territory through channels other than Party B.在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品
5、或服务的询价或订单转交给乙方。Party A shall refer to Party B any enquiries of orders for the commodity or service in question received by Party A from other firms in territory during the validity of this agreement.甲方应对乙方人员进行必要的培训，以保证乙方人员的工作达到甲方的要求。Party A shall provide the necessary training to Party B, in order t
6、o ensure that the work of Party B reach the requirements of Party A.4. 乙方责任和义务Party B responsibilities and obligations乙方可以用“甲方产品唯一授权经销商”的名义进行一切合法的商业活动。Party B can undertake all the legitimate business activities in the name of Part A products only authorized dealers.乙方不得招揽或接受以到代理区域以外的地区销售为目的的订单。对于跨地
7、区销售，一经发现，将给予警告；对于连续两次违反者，甲方有权取消其代理资格和本协议给予的一切权益。Party B shall not solicit or accept orders for the purpose of selling them outside territory. Once cross-area-sales be founding, Party A will give Party B a warning. For two successive violators, Party A shall have the right to cancel Party Bs agent qu
8、alification and all the rights to this agreement.5. 退货Return如产品存在质量问题，乙方须在收到货物后60日内向甲方提交退货申请，甲方应同意退货；乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；甲方在收到退货并确认符合上述要求后退款。For the product quality reason, Party B shall submit a return application to Party A, and Party A shall agree.The products by Party B returned,
9、 and its packaging must meet the requirements of the sales again, otherwise, Party A will not be refund.Party A refunds after receiving the return products and confirming they meet the requirements.6. 运保费Transportation & Insurance Fee发货时，运保费由甲方承担；若乙方对运输工具有特殊要求，超出的运费由乙方自行承担；退货时，运保费由乙方承担。When deliver
10、the transportation and insurance fee should be borne by Party A.If Party B has special requirements, the beyond fee shall be borne by party B.When Return the transportation and insurance fee should be borne by Party B.7. 不可抗力Force Majeure因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负
11、责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件证明寄交对方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overc
12、ome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued relevant authorities to the other party within 15 days after its occurrence.Either

14、and thereafter send a certificate of the event issued relevant authorities to the other party within 15 days after its occurrence.8. 仲裁Arbitration一切因履行本协议发生的争端应通过友好协商解决。如协商不成，均应提交至乙方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决终局的，对双方均有约束力。All disputes arising from the performance of this agreement shall be se
15、ttled through friendly negotiation. Should no settlement be reached through negotiation, the case shall be submitted to court where is Party B is located, which shall be conducted in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.本协议以中英文书就，如中英文内容存在不一致，以中文为准。This agreement is made in both Chinese and English.
