1、发电机加工和装配协议（中英文对照）This Agreement is hereby made between Sichuan Engine Manufacture Company (hereinafter referred to as Party A) and Hong Kang Shipping Machine Company (hereinafter referred to as Party B) this day of 15thJuly, 2011, in China, on the principle of equality and mutual benefit and through
2、 amicable consultation.本协议于年月日在某电机制造公司（此后称为甲方）和香港船舶机器公司（此后称为乙方）之间，通过友好协商，在平等互利的基础上签订。(当事方主体信息 略)Article 1 Introduction第条 介绍A. Party B agrees to manufacture the products, using the raw materials supplied by Party A, in strict compliance with the standards and specifications stipulated in the agreemen
3、t.乙方同意用甲方所提供的原料，严格按照本协议中的标准和规格，来生产下述产品。B. Commodity and quantities for processing加工产品和数量a. Commodity：shipping dynamotor产品 船舶发电机b. Quantity 2000 sets 数量 2 千套Article 2 Specifications第条 规格On the basis of dynamotor prototypes, drawings and product samples furnished to Party A, both parties shall jointly
4、 establish all specifications in sufficient detail necessary for the production. The specifications shall deal with the quality of the materials used and standards of the products. The specifications, once established by both parties, shall be modified only upon mutual written agreement of both part
5、ies.在提供给甲方的电动机原型机，图纸和产品样品的基础上，双方共同建立足以用于生产的必要的所有规格。这些规格将用于所用材料的质量和标准。这些规格，一旦由双方建立，只有通过双方的书面材料才能进行修改。Article 3 Supply of the Raw Materials第条 原材料供应A. During the term of the agreement, Party A shall deliver to Party B such quantity of the raw materials and consumption articles as may be required for th
6、e manufacturing of the products no later than two (2) months before calendar quarter.在本协议期间，甲方应在每个季度前不迟于2个月向乙方运送可能用于产品生产的以下数量的原材料和消耗品。B. Party B shall inspect the raw materials and consumption articles supplied by Party A immediately upon receipt thereof in accordance with the method of inspection t
7、o be agreed by Party A, and shall submit inspection reports to Party A, and within thirty （30） days after the inspection. The raw materials and consumption articles that do not meet requirement of Party A shall not be used in the processing (or assembly).乙方在收到由甲方所提供的原材料和消耗品之后，应立即根据甲方所同意的检验方法对其进行检验，并
8、且应在检验的30天内，把检验报告递交给甲方。那些不符合甲方要求的原材料和消耗品不应用于加工（或装配）。Article 4 Processing and Assembly Fee第条 加工和装配费The processing fee for each model as follows: 每种型号的加工费如下所示：a. Model A at US dollars 500 (Say US dollar Five hundred only) each set.型号每套500美元。b. Model B at US dollars 400 (Say US dollar Four hundred only)
9、 each set.B型号每只400美元c. The processing (or assembly) fee mentioned-above shall remain unchanged for the first years period. After the said two（2） years period, Party B may change the fees by giving Party A a written notice of change no less than three (3) months prior to the change. In case that Part
10、y A does not accept such change of the processing fee within two (2) months from the receipt of the said notice the agreement shall be terminated.以上所述的加工（或装配费）将在第一年内保持不变。在上述的2年期限内，乙方可以在变化前的3月之内以书面形式通知甲方改变事宜。万一甲方在收到上述通知的2个月内不接受加工费的改变，本协议将终结。Article 5 Term of Payment第条 付款方式For payment of the processin
11、g (or assembly) fee, Party A shall open a confirmed irrevocable L/C in favor of Party B with a bank approved by Party B, for the amount enough to cover each shipment of the products at least fifteen (15) days before such shipment. The L/C shall be negotiated against commercial invoices, full set of
12、bill of lading, packing list, inspection certificate and _ of Party B.关于加工（或装配）费的付款，甲方应在此装运前至少15日之内，通过由乙方所认可的银行，以乙方为受益人，开具一保兑的、不可撤销信用证，其金额足以满足每批产品的出运需要。此信用证应可以由商业发票，完整一套提单，装箱单，检验单和乙方的_进行议付。Article 6 Technical Information and Assistance第条 技术技术和协助A. Party A agrees to furnish Party B with processing (o
13、r assembly) drawings, processing (or assembly) instructions and test and inspection standards necessary for processing ( or assembly) of the products.甲方同意给乙方提供必要用于产品加工（或装配）的加工（或装配）图纸，加工（或装配）指导，和测试和检验标准。B. Party A agrees to provide Party B with appropriate advice against problems of Party B relating
14、to the technical matters for processing (or assembly) of products.甲方同意给乙方提供和加工（或装配）产品的技术事宜有关的解决问题的适当建议。C. Upon request of Party B during the terms of the agreement, Party A may dispatch its own engineers and technicians to Party Bs factory to give advice and guidance which Party A thinks appropriate
15、 in relation to assembly of the products. All the expenses relating to the engineers and technicians are to be borne by Party B.在协议期间，根据乙方的请求，甲方可以向乙方派遣其工程师和技术人员到乙方的工厂，给予甲方认为和产品加工有关的建议和指导。工程和技术人员的相关费用由乙方承担。D. Upon request of Party B during the terms of the agreement, Party A agrees, once in all, a ma
16、ximum of 5 engineers and technicians of Party B to stay at Party As factory for a period of not exceeding 10 days and give them training which Party A thinks appropriate in relation to assembly of the products. The traveling and living expenses of the personnel of Party B shall be borne by Party B.在本协议期间，根据乙方的要求，甲方同意，一次性的，乙方最多5名工程师和技术员到甲方的工厂，逗留时间不超过10日，给予他们
