1、.摘 要我国国有中小企业改制,早在上世纪 90 年代初就已开始,如诸城模式、朔州模式,这些改革实践为国有中小企业的改制积累了很多成功经验。国家发展和改革委员会统计数据表明,我国国有中小企业已经成为国民经济的重要组成部分,其经营业绩的好坏对经济活动的影响是不容忽视的。但从目前来看,全国各地对国有中小企业改制的模式的认识还存在着模糊观念,政府对中小企业改革支持不够。出现这些问题,既有认识原因,如轻视改制的复杂性和专业性,以运动方式推进企业改制；也有国家地方政策不系统配套、指导作用有限的原因；更有深层次的政治和经济利益问题。深入研究完善我国国有中小企业改制模式,对于贯彻落实科学发展观,加速推进我国国
2、有中小企业改革,确保国有资产保值增值,促进区域经济协调发展,推进全面建设小康社会进程,加速实现社会主义现代化宏伟目标,具有重要的理论价值和现实意义本文通过演绎、抽象、实证和综合等研究方法,从对江油市国有中小企业改制的具体情况入手,首先阐述了产权理论、委托代理理论和改革的路径依赖性理论等围绕国有中小企业改制的理论依据,然后利用以上理论对江油市国有中小企业的效果和问题进行实证分析,最后在此基础上归纳总结出我国国有中小企业改制的一般模式,即：对于中型企业的改制宜采取混合所有制的产权结构,对于小型企业的改制宜采取私人产权结构。本人有幸经历江油市国有中小企业改制整合的实践操作,方便获取第一手资料,以理论
3、指导实践,从而完成了本文的研究。论文结构如下：第一部分为绪论。主要提出了本文的研究背景,研究意义和所要研究的内容。第二部分集中阐释了产权理论、委托代理理论和改革的路径依赖性理论,为后面的研究提出了理论依据。第三部分以江油市国有中小型企业的改制案例入手。首先介绍整体的改制情况,然后描述几个典型案例,进而为提出我国国有中小企业改制的一般模式提供了现实依据。第四部分对前面分析的案例模式进行总结,纵向对比两次改制的模式和效果,然后从横向比较不同企业改制的模式和效果。46 / 46.关键词：国有中小企业改革模式改革问题.AbstractThe reform of state-owed midium an

7、cdevelopment, acceleration of reform of state-owed medium and small enterprises,insurance of maintenance and increase of state owned assets, and acceleratingrealization of socialism development.With a combination of research methodology of induction, abstraction, andempirical and synthetically study
8、, and the based on the present situation of reform ofstate-owed medium and small enterprises of Jiangyou City, the paper first discussestheories concerning reform of state-owed medium and small enterprises, such asownership theory, Principal-agent theory, and Path dependency theory; then takingabove
9、 theories into consideration, it puts forward an empirical study of efficiency andproblems reform of state-owed medium and small enterprises of Jiangyou City, andfinally it generalizes the general model of reform of state-owed medium and smallenterprises of China, that is,mixed ownership for medium
10、enterprises , and privateownership for small enterprises. The author is fortunate to be engaged in the reform ofstate-owed medium and small enterprises of Jiangyou City to have a lot of valuablefirst-hand information, to complete this paper with guidance of relevant theories.Part I is introduction w
11、hich introduces the study background, significance of thestudy and the issues which are to be discussed in the paper.Part II discusses ownership theory, Principal-agent theory, and Path dependencytheory, to provide theoretical foundation for further discussion.Part III is to take some cases of refor
12、m in Jiangyou City into consideration, and tointroduce the general situation of reform in the city. Then it describes some typicalcases, to provide practical foundation for suggestion of general models of reform ofstate-owed medium and small enterprises of ChinaPart IV is a conclusion of the previou
13、sly discussed cases.
