1、独家销售合同篇一：独家销售协议范本独家销售代理协议甲方：乙方：为了开拓市场，发展贸易，甲乙双方经友好协商，本着平等互利的原则，就甲方委任乙方为其下列商品的独家销售代理人事宜，达成如下独家销售代理协议，以资信守。第一条、 协议商品1商品名称：。2、甲方保证上述商品由其独立生产，并对该商品享有完全的处分权，对该商品及使用的商标享有知识产权。协议商品出现的知识产权纠纷由甲方承担全责。3、甲方保证上述商品符合国家安全卫生标准及质量标准。第二条、 独家销售的地区1、 甲方许可乙方在地区独家销售协议商品，乙方享有独家销售代理权。2、 在上述地区，甲方不得自行销售协议商品，并不得许可任何第三人销售协议商品。
2、第三条 、订单的确认1、协议商品的有关数量、价格和交货期，在逐笔交易中确认。2、第 一 笔交易在本协议签订之后议商品；以后每笔交易的数量，由乙方向甲方提出，甲方按照乙方提出的数量按期发货。3、每一笔交易的价格由甲乙双方商订，但协议商品的单位价格，不得高于甲方向其他经销商出售该商品的出厂批发价的最低价格。乙方按照商订的价格向甲方支付货款。付款方式为： 。4、每一笔交易的交货期由甲乙双方商订，甲乙双方应当严守交货期限，不得无故拖延。5、每一笔交易的交货方式为：的一种）。（1）甲方送货；或者（2）乙方提货；或者（3）甲方代办托运。运输费用由 承担。第四条、 广告宣传1、负担协议期间在上述地区的一切广
3、告宣传费用。2、广告内容由提供。第五条、协议有效期1、本协议有效期为年，自双方签字盖章之日起生效。2、如果一方需要延长协议，必须在期满前一个月提出 ，双方协商确定。第六条、 违约责任1、因协议商品的质量不合格，乙方有权退货，并可解除合同；造成损失的，甲方应当赔偿乙方的损失。2、在乙方独家销售的地区，甲方自行销售协议商品，或者许可任何第三人销售协议商品的，甲方应当赔偿乙方损失，损失额为 （填写金额或计算方法）。乙方并有权解除合同。3、乙方应当按照约定支付价款，否则自逾期之日起乙方应当向甲方支付银行利息。4、甲方以高于向任何其他经销商出售该商品的出厂批发价的最低价格，向乙方出售协议商品的，甲方应向

If there is any particular change of relative local import regulations, Party B shall notify Party A at once;第七条报告乙方应及时向甲方提供有关相关产品销售方面的信息。认真反馈用户对产品质量、价格、新产品开发、产品改进等方面的意见和建议。乙方所在国的相关进口政策的任何变化，应立即通知甲方。
