1、摘要企业并购重组已经成为当今世界经济发展的一种趋势。在我国,随着经济体制改革的进一步深化,特别是国民经济战略布局调整和国有企业战略性重组等政策战略的逐步实施,并购重组成为国有企业的现实选择。当今,国有企业的并购重组不仅是市场经济的内在要求和实现资源优化配置的有效手段,同时也成为了实现国民经济战略布局调整和国有企业战略性重组与成功转型的关键因素。与此同时,随着各利益主体之间矛盾冲突的进一步激化,由国有企业并购重组所直接导致的大规模社会群体事件也在不断爆发。在这其中,吉林通钢事件更被视为了一个具有标志性的事件。由此使得国有企业并购重组中的劳动者权益保护问题显得越来越重要。以此为背景,本文试图研究三

2、个方面的问题:一是,从理论层面上,分析国有企业并购重组中社会群体事件频发的根源;二是,从实践角度,以相关个案分析为基础,对国有企业并购重组过程中的劳动者权益损害、各利益主体围绕并购重组中利益冲突的行为选择、企业内部利益冲突向社会群体事件的转化、面对社会群体事件及其并购重组中劳动者权益保护国内外的应对策略、成效与经验等相关问题进行实证研究;三是,理论与实践相结合,深入探讨国有企业并购重组进程中劳动者权益保护的原则与切实可行的政策措施。全文分为六个部分。第一部分,提出问题及文献回顾。国有企业并购重组是市场的内生要求和实现资源优化配置的有效手段,同时也是实现国企良性增长与成功转型的关键。“群体性”事

3、件的爆发并非“偶然因素”、“一时之功”,经济实践需要我们做出科学的应答。为此,通过对文献的归纳、整理,确立本文研究重点。第二部分,国有企业并购重组中劳动者权益保护的理论分析。本文试从所有制与产权分析框架的先天不足与外生缺陷、企业治理的内生缺陷、劳动力产权的同质性与异质性、企业劳动关系内部协商机制的缺乏等方面分析国有企业并购重组中社会群体事件频发的根源。第三部分,国有企业并购重组及其对劳动者权益的影响。在这其中,国企并购重组对劳动者权益的影响是重点。本文试从国企产权调整与劳动者“地位”变化、“劳资结合”链条的破裂与劳动者的“被剥夺”感、产权与劳权的非均衡及劳动者话语权的丧失、工会组织力量的削弱与

4、其它劳动者权益保护组织的弱化、雇佣灵活化与不稳定性就业的增加、经济利益格局的重构与收入差距的扩大等方面展开论述。III第四部分,国有企业并购重组中各主体行为选择与社会冲突。主要从企业与政府的行为选择与目标冲突和劳动者的行为选择与社会冲突两方面展开论述。其中,劳动者的行为选择与社会冲突是重点,并从劳动者的“抗争”与显性冲突和劳动者的“忍耐”与潜在冲突展开分析。第五部分,目前国有企业并购重组中劳动者权益保护的应对策略。分析了国内外关于国企并购重组中劳动者权益保护的政策经验。国外主要是以英国、德国和瑞典为例。我国政策选择主要是从正反两方面展开论述。第六部分,国有企业并购重组中劳动者权益保护的政策建议

5、。主要分析了国企并购重组中劳动者权益保护应遵循的原则和政策建议。国企并购重组中劳动者权益保护应遵循的原则,即社会公平与经济效率相统一原则、内部协商与政府干预相结合原则、渐进性与互补性相统一原则、政治可行性原则等。国企并购重组中劳动者权益保护的政策建议,即建构劳动关系内部协商机制、强调企业绩效基础上的社会责任、发挥以政府为主导的社会治理、实现劳动者与“主人”地位名实相副等。IV关键词:国有企业 并购重组劳动者权益保护AbstractCorporate M&A has become a trend of the worlds economic development. In China,with

6、the further deepening of Chinas economic structural reform, merger and reorganizationof state-owned enterprises is also increasing, in particular policies and strategies are graduallyimplemented, such as the strategic readjustment of the national economy and the strategicreorganization of state-owne

7、d enterprises and so on. Nowadays state-owned enterprisesmerger and reorganization is not only an inherent requirement of the market economy and aneffective means of achieving optimal allocation of resources, but also become a key factor ofthe strategic readjustment of the national economy and the s

8、trategic reorganization ofstate-owned enterprises in successful transition. However, as conflicts among various interestgroups further intensify, large-scale social events have also been outbreaks, which is causedby merger and reorganization of the state-owned enterprises. Of these, Jilin Tonghua lr

9、on andSteel event is regarded as a landmark event. Therefore, the protection of the labor tightsbecomes increasingly important in the merger and reorganization of state-owned enterprises.Against that background, this paper attempts to analyze three issues: First, form a theoreticallevel, analyze the

10、 root causes of frequent social groups events in merger and reorganization ofstate-owned enterprises; Second, form a practical point of view, based on the analysis of therelevant case, research related issues in the process of the merger and reorganization ofstate-owned enterprises, which includes d

11、amages of the labor rights and interests; the acts andchoices in merger and reorganization; the transformation which transfomes form intemalinterest conflicts to social groups events; coping strategies, effectiveness and experience athome and abroad about the protection of labor rights and interest

12、when facing social groupevents and in merger and reorganization; third ,combining theory with practice, explore theprinciples of protecting workers rights and interests and the practical policy measures in theprocess of merger and reorganization of state-owned enterprises. The whole article is divid

13、edsix sections.Section one, ask questions and literature review. M&A restructuring of state-ownedenterprises is requirements of the market and the means of achieving an effective allocation ofresources. At the same time, it is also the key to successful transition and achieving healthyVgrowth of sta

14、te-owned enterprises. However, large number of the outbreak of the “groups”incidents are not “accidental factors” or “a moment power”. Economic practice needs us tomake a scientific answer and achieve a break through in understanding. The paper identifiesthis focus ultimately through the induction a

15、nd sorting of the literature.Section two, restructuring of state-owned enterprises mergers and acquisitions among thelabor rights protection from the analysis of the theoretical level. This part analyzes thetheoretical difficulties from some aspects about the protection of workers rights and interestsin the
