12、区域经销合同甲方：佛山市陶墨轩陶瓷有限公司法定地址：佛山市南海区桂城天佑三路11号 乙方： 法定地址： 省 市 区/县主要营业地址： 佛山市陶墨轩陶瓷有限公司（以下简称：甲方）是“墨丽陶瓷”品牌拥有人。双方基于平等互利的原则，经过充分、友好的协商，达成本协议。双方确认，本合同一经双方签署生效，双方都将严格按照合同条款执行，任何一方违约都必须根据本合同之定义结合相关法律对产生之后果承担违约责任。第一条 授权 展示 样品1.根据双方达成的协议精神，甲方同意将“墨丽陶瓷”品牌以下系列（1. 瓷片系列 2.地爬墙系列 3.微晶系列 ）产品的经销权授予乙方，并指定乙方为 的总经销，乙方在该辖区辐射的范围
13、如下： ， ， ， 明确规定乙方只能在以上区域内开展销售活动。本合同所指“产品”为甲方“墨丽陶瓷”的瓷片、地爬墙、耐磨微晶石等系列产品。 第二条 经营任务2.1双方确认，对于总经销商每月的销量要求是成为“墨丽瓷砖”总经销商的必要条件之一。因此，甲方对乙方年销总值要求为（即合同年总任务）： 万元人民币（按实际产品开单销售总额计算，装车费、运杂费等不计入销售任务），其地爬墙、瓷片、耐磨微晶石的年销售任务为 万元；表一：地爬墙+瓷片+耐磨微晶石系列产品月任务分配任务月份1-2月3月4月5月6月7月8月9月10月11月12月合计（万元）地爬墙+瓷片+耐磨微晶石2.2、乙方保证：作为“墨丽陶瓷”经销商将
14、采取一切积极合理的方法，为经营“墨丽陶瓷”进行产品销售和品牌推广乙方不得实施将会或可能会对“墨丽陶瓷”业务信誉、等产生不利影响的任何行为。2.3、乙方不得在本合同授权经营区域以外经销“墨丽陶瓷”产品（包括报价、展示推广等活动），且不能将本区域销售产品卖到其他区域范围，同区域内不得恶性攻击本公司其它兄弟品牌（墨岩、尚彩石代）2.4、乙方经营区域内的特殊项目，如招标工程或工程商坚持与甲方直接经营的，甲方在保护乙方利益的前提下保留直接营销的权利，如有净价或差价时甲方应将上述所产生的净差价返于乙方（以产品低扣），如果没有差价时只计算月度、年度业绩。第3条 产品质量检验、验收、结算、运输3.1、甲方的瓷
15、片、地爬墙、微晶石优等品均按GB/T4100-2006附录或GB6566-2010建筑材料放射性核素限量A类要求标准执行：低于企业标准的一级品及低于正常价格的处理产品，甲方不负质量责任。3.2、关于产品验收3.2.1、产品在甲方仓库内交货，乙方派员现场验收；如乙方不派员现场验收，产品如出现质量问题应在收获之日起三十日之内，并在产品未使用前书面通知甲方，甲方即予以处理，否则视为乙方默认甲方产品没有质量问题，乙方放弃任何要求。3.3货款结算及提货规定3.3.1甲方制度规定：为保障乙方货款安全，乙方用于购买产品的款项必须直接汇入甲方指定银行账户，甲方收到款后方能开单发货。乙方以任何理由交给甲方业务员个人的款项均视为个人行为，由此造成的经济损失及后果均由乙方自负，不受甲方保障，甲方将不负任何责任。
