5、章第一章 声明与保证声明与保证 第一条 甲方声明：甲方保证为合法的经营机构，已经监管部门认可、具备相关 产品的销售及从事客户招揽和客户服务等活动的条件。 系统性因素造成损失不在 2 甲方责任范围内。 Chapter One Representations and Warranties Article 1 Party As representations: Party A guarantees for its legality as a managerial setup, and has been approved by supervision department, also equipped
6、 with the qualifications of conducting relevant businesses including the sale of products, customer solicitation and customer service. But the loss caused by systemic factors is beyond the scope of Party As responsibility. 第二条 乙方声明： （一）乙方提供给甲方的信息资料真实、准确、完整； （二）乙方具有甲方要求相应的从业资格； （三）乙方未接受其他公司委托从事经纪人业务；
7、 （四）乙方将专门代理甲方从事客户招揽和客户服务等活动，乙方没有在其 他机构的专职或兼职工作； （五） 乙方已经充分知悉甲方制定的经纪人管理的相关制度及其配套文件的 内容并承诺遵守。 Article 2 Party Bs representations: I. The information provided by Party B is true, accurate and complete; II. Party B has the corresponding occupational qualifications required by Party A; III. Party B does
8、not accepted broker agent businesses from other companies; IV. Party A is the sole party of Party B to agent business of customer solicitation and customer service, and Party B does not have any full-time or part-time work in other institutions； V. Party B has been fully aware of Party As relevant p
9、rovisions of broker management as well as its supportive documents, and promises to undertake. 第二章第二章 委托代理事项委托代理事项 第三条 乙方向甲方介绍客户， 通过向潜在投资者宣传甲方品牌优势，说服潜在 3 投资者到甲方所开立的营业网点购买合法的金融产品。 第四条 甲方委托乙方为其 分公司提供服务。 第五条 乙方的执业地域范围是： 市所辖行政区域。 Chapter Two Principal-agent Issues Article 3 Party B introduces customers
10、to Party A, and persuades potential investors to buy legitimate financial products at the sales network opened by Party A through propagandizing Party As brand advantages. Article 4 Party A authorizes Party B to provide services for its branch office _. Article 5 Party Bs scope of practice is the ad
11、ministrative area of _(city). 第六条 甲方委托乙方的具体事项如下： （一）向客户介绍甲方的基本情况； （二）向客户介绍相关产品的基本知识及业务流程； （三）向客户介绍甲方金融业务的有关法律、法规和甲方的有关规定； （四）向客户介绍甲方服务流程，传递由甲方统一提供的有关的信息，协助 甲方建立完善的客户档案，做好客户服务工作； （五）向客户传递由甲方统一提供的金融业务宣传推介材料及有关信息； （六）符合法律、行政法规和公司规定且经甲方书面同意的其它业务。 Article 6 The concrete matters Party A entrust Party B ar
12、e as follows: I. Introduce the basic information of Party A to the customers; II. Introduce the basic knowledge of relevant products and business process to the customers; III. Introduce the laws, regulations, as well as provisions of Party A about Party As financial business to the customers; IV. I
13、ntroduce Party As service process to the customers, deliver the unified relevant information provided by Party A, and assist Party A to establish perfect customer files in order to do a good job of customer service; V. Deliver the unified financial business publicity and promotional materials and re
14、levant information provided by Party A to the 4 customers; VI. Other business with Party As written consent and in line with the laws, administrative regulations and company rules. 第七条 甲方的委托期间为本合同的有效期。 Article 7 Party As authorization period is within the validity period of this contract. 第三章第三章 报酬及
15、支付方式报酬及支付方式 第八条 乙方按本合同约定完成委托事项的，甲方按经纪人绩效考核与报酬计 算标准 （附件一）向乙方支付报酬。 第九条 甲方按月计算、支付、结算乙方报酬，基准周期是每月第一个工作日至 最后一个工作日。 Chapter Three Compensation and payment Article 8 After Party B completes the entrusted matters under this contract, Party A will pay the remuneration to Party B according to the Broker Perfo
16、rmance Appraisal and Compensation Calculation Standard( Annex 1).
