2、einafterreferredtoasthe“Licensee”,orPartyA)ontheonehandandXYZCompany,NewYork,USA(hereinafterreferredtoasthe“Licensor”,orPartyB)ontheotherhand.WhereasPartyBpossessesKnow-howforthedesigning,manufacturing,installingandmarketingof(theproductsname).WhereasPartyBhastherightanddesirestotransfertheabove-sai
3、dKnow-howtoPartyA.WhereasPartyAdesirestodesign,manufacture,sellandexport(theproductsname)usingPartyBsKnow-how.ThePartiesheretoherebymadeandenteredintothiscontractthroughfriendlyconsultationunderthefollowingterms,conditionsandprovisionshereof.本专有技术转让合同，由中国北京ABC公司为一方，和美国纽约XYZ公司为另一方，于1997年10月27日在北京签订。鉴
4、于乙方拥有设计、制造、安装、销售产品的专有技术；鉴于乙方有权及同意向甲方转让上述专有技术；鉴于甲方希望利用乙方的专有技术，以便设计、制造、销售和出口产品；本合同双方通过友好协商，根据以下的合同条款特签订本合同。例2：ThisAgreementismadeandenteredintoinBeijing,ChinabyandbetweenChinaABCCorporation,astateenterprisedulyorganizedandexistingundertheLawsofthePeoplesRepublicofChinawithitsprincipalplaceofbusinessat
5、JianGuomen,Beijing,thePeoplesRepublicofChina(hereinafterreferredtoasABC)andGeneralTradingandChemicalCo.,astate-ownedcompanydulyorganizedandexistingunderthelawsoftheArabRepublicofEgyptwithitsprincipalplaceofbusinessinCairo,ArabRepublicofEgypt(hereinafterreferredtoasGENCO).WhereasABCistheexporterofcom
6、moditiesprovidedhereinandisdesirousofthesalesintheArabRepublicofEgypt;WhereasGENCOisdesirousofactingasABCssoleagentforsalesinEgypttogovernmentorganizations,publicsectorandprivatesector.Nowitisherebyagreedunderthetermsandconditionsasfollows:本协议，由中国ABC公司，一家依据中华人民共和国法律建立和组织的国营公司并在北京建国门设有营业地，与GeneralTra
7、dingandChemicalCo.,一家依据埃及阿拉伯共和国法律建立和组织的国营公司并在开罗设有营业地,在中国北京签订。鉴于ABC为所供商品的出口方，并且愿意在埃及销售，而GENCO愿意作ABC在埃及的独家代理向埃及的政府组织、公共及私营部门销售ABC的产品；兹同意下列条款：例3：ThisAgreementismadeandconcludedinduplicateinBeijing,ChinabyandbetweenXYZCompany,acompanyincorporatedundertheLawofUSAhavingitsheadofficeandaplaceofbusinessinth
8、eCityofNewYork,USA,(hereinaftercalledXYZ)asthefirstPartyandChinaJingDuCorporation(hereinaftercalledthePurchaser)astheSecondParty.Inconsiderationofthemutualconventionsandagreementshereincontained,theXYZandthePurchaseragreeonthefollowingterms,conditionsandprovisionshereof:本协议书，由按美国法律成立的，并在美国纽约设有总部和营业地
9、的XYZ有限公司为甲方和中国京都公司为乙方在北京签订，一式两份。考虑到相互契约及约定，XYZ与买方同意以下条款：二合同的种类与合同的范围TypeofcontractandkindandscopeoftheobjectofcontractTheorganizationformoftheJointVentureCompanyshallbealimitedliabilitycompany.Theprofits,risksandlossesoftheJointVentureCompanyshallbesharedbythePartiestothisContractinproportiontotheir
10、contributionsoftheregisteredcapital.合资公司的形式应为有限责任公司。本合同双方应按注册资本的认缴比例分享合资公司的利润，并应分担合资公司的风险及损失。ThebusinesspurposeoftheJointVentureCompanyshallbeinconformitywiththewishtoenhancetheeconomiccooperationandtechnicalexchange,todevelopbusinessopportunitiesandtakeadvantageofthePartiestothisContracttoraiseecon
11、omicresultsandensuresatisfactoryeconomicbenefitsforpartieshereto.Activitiesshallbeasfollowsbutnotlimitedto:(1)tradeinter-mediation;(2)Technologydevelopmentandtransfer;(3)Arrangementofstrategicallianceandjointventures;(4)Marketresearch(5)Managementconsultationandhumanresourcesdevelopment;(6)Anyandall
12、businessactivitiesincidentaltotheforegoingobjectives.合资公司的目的是为了促进经济合作和技术交流，开拓业务渠道，充分发挥本合同双方的各自优势提高经济效益，保证双方获得较好的经济效益。业务范围应包括，但不只限于以下各条：贸易中介技术开发、技术转让为贸易伙伴和合资经营牵线搭桥市场调查提供管理咨询和人才资源的开发涉及上述目的的所有及任何其它业务活动PartyAagreestoacquirefromPartyBtheknow-howfordesignandmanufactureofthecontractproductswiththetypes,spe
13、cificationsandparametersspecifiedinAppendixNo.1tothecontract,andPartyBagreestosupplytheabove-mentionedknow-howtoPartyA.Thesurrenderoftheknow-howshallbemadenotonlyinthescopeofnewproductionofthecontractproductsunderappendix,butalsobysuchcomponentsasarealreadybeingmanufacturedbypartyA,asfarasthetypeofp
14、roductsbelongstothecontractproducts.PartyBshall,inaccordancewiththeprovisionsinSub-clause,haveobligationstosupplyamaximumof8setsofthecontractproducts(3setsofnewdesignsand5setsofrevisionsofcomponentsalreadybeingmanufacturedbypartyA,asfarastheybelongtothecategoryofthecontractproducts.)甲方同意按合同中附件1规定的型号
15、、规格和参数向乙方购买有关合同产品设计和制造方面的专有技术；乙方同意向甲方提供上述专有技术。转让的专有技术，不仅涉及附件1中规定的新生产的合同产品，也包括改进甲方已经生产的属于合同产品类型的部件的专有技术。根据第款的规定，乙方有权提供最多8套合同产品的专有技术、三合同价格、支付金额、支付方式和各种附带的费用(Thecontractpriceandrate,amountandmethodofpayment,andothervariousincidentalcharges)例1：TheregisteredcapitaloftheJointVentureCompanyshallbethesameasthetotalamountoftheinvestment,milliondollars合资公司的注册资本和投资总额相同，即为450万美元。例2：PartyAshall,inaccordancewiththeprovisionsofthiscontract,paytoPartyBtheTechnicalDocumentationFeeofUSD2,400,00.TheabovepriceshallbeafirmpriceincludingallexpensesforsendingtheTechnicalDocumentat
