1、为了适应公司新战略的发展，保障停车场安保新项目的正常、顺利开展，特制定安保从业人员的业务技能及个人素质的培训计划中英文煤炭合同原煤购销合同CONTRACTNO:CNBM-DR-XX/08-26THISCONTRACTMADEANDENTEREDBYANDBETWEEN:买卖双方TheSellers卖方:TheBuyers买方:THESELLERANDTHEBUYERHEREBYAGREEASFOLLOWS:卖方和买方彼此同意以下条款：Thiscontractismadebyandbetweenthebuyersandthesellers;wherebythebuyersagreetobuyan
2、dthesellersagreetoselltheundermentionedcommodityaccordingtothetermsandconditionasstipulatedbelow:此合同由买卖双方共同签订，就以下提及的货物的买卖制定了以下条款：ARTICLE1第一条款DEFINITION定义InthisContractfollowingtermsshallhavethemeaningasfollows:在这份合同内有以下专业词语定义：ARTICLE2第二条款COAL煤炭BuyerwishestopurchasefromtheSellerandtheSellerwishestose
3、lltotheBuyerthenoncokingIndonesiansteamcoalinbulkofIndonesianoriginof70,000MT+/-10%(2shipmentsof35,000MT)everymonthfor36monthsaspertheshippingschedulemarkedasannexureA买方将从卖方购买产地为印度尼西亚的蒸汽煤，每个月70,000MT+/-10%(每船万吨，每月2船)，为期36个月，供货安排请参加附录A。ThequalityandsizeoftheCoalsuppliedineachShipmentshallbedetermined
4、inaccordancewithintherejectionlimitsstipulatedinthetablebelow.TheSellershalluseallreasonableendeavorstosupplyCoalineachShipmentofanaveragespecificationdescribedasaTypicalValueinthetablebelow每次运到的煤炭的品质将优于下表所列的拒收指标。卖方将尽可能提供品质稳定的煤炭，其平均指标都符合下表所列的标准指标。Specification/规范ARTICLE3第三条款PURCHASEPRICE购买价格Thepurch
5、asefortheCoaltobedeliveredpursuanttothisContractshallbetheUSD95/MTCargoandfreight(CFR)tomajorportsofSouthChina.90%paymentonloadingandtheremaining10%paymentupontestinginChinabyCIQstandardsdeliveryistobefullysecuredonamonthlybasisbyviairrevocablerevolvingL/Catsightatloadingport.依照合同显示，买方购买卖方印度尼西亚蒸汽煤的价
6、格是每吨95美元(CFR)到航船的抛锚地点,为中国南部的主要港口。90%的货款将在装船完成后支付，其余的10%货款将在货物到达港口，通过中国CIQ检测后支付。需要按月在装船港口用不可撤销信用证做付款保证。TheBuyershallcommenceatrialorderof35,000MT.Ifthetrialissuccessfulanddeliveredintheprovisionsofthecontractthecontractwillautomaticallyrollintoasupplycontractof70,000MTpermonth(2shipmentsof35,000)for3
7、6monthsaspertheshippingscheduleinannexureA.TheSalePriceshallberenegotiatedevery3or6monthly.Onceconfirmedbybothpartiesthecontractwillresume.Thecontractiscompletedoncethe36monthsarefulfilledandcanbeextendedbymutualconsent.买方将开始购买万吨作为试用.试单顺利完成之后，双方将自动进入一个每月供应7万吨的长期供货合同为期36个月，供货安排参见附录A。销售价每3或6个月由买卖双方协商决
8、定，经双方同意后继续生效合。合同为期36个月，如双方无异议，合同可续延。ARTICLE4第四条款WEIGHT,IMPURITIES,QUALITY,SAMPLING,ANDANALYSIS称重、杂质、质量、抽样及分析1.SurveyonqualityandquantityoftheCoalshallbecarriedoutbyPTSUCOFINDO(ATSMStandards)attheLoadingPort.煤的质量和数量的检验是由印尼的SUCOFINDO国际质量鉴定员在装载港实行检验。2.TheSurveyReports(CertificateofSamplingandAnalysisRe
9、portandCertificateofWeightSurvey)costsattheLoadingPortshallbebornebySeller.SuchreportsshallbeusedasthebasisfortheB/Lweight.从装载煤到达港口后的检验报告(质量和数量)费用将由卖方承担。这份报告将被用于确定煤炭的运单重量。3.ThefinalweightshallbedeterminedaccordingtotheDraftSurveyperformedbyPTSUCOFINDOattheLoadingPort.煤炭的确认的重量是根据印尼SUCOFINDO的国际质量鉴定员在装
10、货港口执行的备案检验来确定1.附录主题SubjectoftheAppendix.卖方承诺交付给买方俄罗斯动力煤以下简称“货物”，且买方承诺接受并支付该货物。TheSellerundertakestodelivertotheBuyerRussianSteamCoalhereinafterreferredtoasthe“Goods”,andtheBuyerundertakestoacceptandpayforsuchGoods.2.货物质量TheQualityofGoods合同附录30下可交付货物的质量须符合以下品质特征ThequalityoftheGoodstobedeliveredundert
11、heAppendix30beingthepartoftheGoodsdeliverableunderthecontractshallcorrespondtothefollowingqualitycharacteristics:3.发货量及时间，交付条件VolumeandperiodofdispatchoftheGoods.Termsofdelivery.根据附录xx卖家承诺将货物从始发站按以下的量和时间进行发货。年月吨数：吨(卖家可以选择有的上下浮动)准确的铁路计划，确切的派遣月份将由公司不迟于派遣日的5天前宣布。UndertheAppendix30theSellerundertakestod

14、Russian-Chineseborder(hereinafterreferredtoasthe“deliverypoint”or“PointoftheriskoftheGoodslossordamagetransfer”).货物的重量以合同条款为准WeightofGoodsdeterminedasperclause#oftheContract4.货物的价格和费用ThePriceandCostoftheGoods.在目的地交货条款中(跨境站在边境),适用于年货物吨数的价格将定为每公吨，基于低热值为接收时加权平均质量且每月基本规模按比例分配。ThepriceasapplicabletotheGo
