3、咨询任务，工程地点为巴西圣保罗州塔图依市，经双方协商一致，签订本合同，共同执行。Party A entrusts Party B to undertake the Engineering Design and Consultation Tasks for the Base Construction Project of Zoomlion in Brazil at the location of Tatu, State of Sao Paulo, Brazil. Upon agreement by both parties through consultation, the two partie
4、s shall sign and implement the Contract jointly. 第一条 本合同签订依据Article 1Basis for the Signing of this Contract1.1 中华人民共和国合同法 、 中华人民共和国建筑法 。1.1 Contract Law of Peoples Republic of China and Construction Law of the Peoples Republic of China.1.2 中国国家及地方有关建筑工程勘察设计管理法规和规章。1.2 National and local laws and reg
5、ulations on the administration of the survey and design for engineering construction.1.3 巴西建设工程现行法律和规章。1.3 Current laws and regulations on construction engineering in Brazil.1.4 建设工程批准文件。1.4 Documents of Approval for Construction.第二条 设计依据Article 2Design Basis2.1 甲方提供给乙方的咨询委托书2.1 Letter of Consultati
6、on Assignment provided by Party A to Party B2.2 甲方提交的相关的工艺、设备等技术及基础资料2.2 Relevant processes, equipments and other technical and basic materials provided by Party A2.3 甲方提交的建设用地红线图及规划设计要求2.3 Red line map of construction land and the planning in case there is a delay of more than 15 days exceeding the
7、 specified time limit for the delivery of the above materials and documents by Party A, Party B shall have the right to re-determine the time for delivery of the design documents. 9.1.2 甲方变更委托设计项目、规模、条件或因提交的资料错误，或所提交资料作 较大修改，以致造成乙方设计返工时（涉及结构设计重新计算、或一整垮设计内容的修改） ，双方除另行协商签订补充协议（或另订合同） 、重新明确有关条款外，甲方应按乙
8、方所耗工作量向乙方支付返工费。9.1.2 In case of Party Bs rework on the design (involving the recalculation of structural design or modifications of the whole design content) resulted from the changes in engineering, size and conditions of the design by Party A or mistakes of the materials submitted or major revisio
9、n on the submitted materials, the two parties shall conclude supplementary agreement separately (or enter into another contract) and redefine relevant terms and conditions. In addition, Party A should pay charges for rework to Party B according to the workload.在未签订合同前甲方己同意，乙方为甲方有所做的各项设计工作，甲方应支付相应 设计
10、咨询费。Party A has agreed before the conclusion of this Contract that it will pay charges of design consultation to Party B for all the design works conducted by Party B.9.1.3 在合同履行期间，甲方要求终止或解除合同，乙方未开始设计工作的，不退 还甲方己付的定金；己开始设计工作的，在乙方无过错，对本合同无违约的前提下，甲 方无故要求终止或解除合同，甲方应根据乙方己完成的实际工作量，不足一半时，按该 阶段设计咨询费的一半支付；超过
11、一半时，按该阶段设计咨询费的全部支付。9.1.3 During the performance of the Contract, if Party A requires to terminate or cancel the Contract before Party B starts the design work, Party B will not return the down payment already paid by Party A; if Party B has started the design work, Party A shall pay for the actual w
12、orkload already done by Party B. When the actual workload of the design is less than half of the work at the stage, Party A shall pay half of the charges for design consultation at the stage. When the actual workload of the design is more than half of the work at the stage, Party A shall pay all the
13、 charges for design consultation at the stage.9.1.4 甲方必须按合同规定支付定金，收到定金作为乙方设计开工的标志。未收到 定金，乙方有权推迟设计工作的开工时间，且交付文件的时间顺延。9.1.4 Party A should pay down payment as provided by the Contract and receipt of the down payment will be the symbol for the commencement of the design work by Party B. If the down pay
14、ment is not received, Party B is entitled to put off the time of commencement of design work, and postpone accordingly the time of delivery of documents.9.1.5 甲方应按本合同规定的金额和日期向乙方支付设计咨询费，每逾期支付一天， 承担应支付金额千分之二的逾期违约金，且乙方提交设计文件的时间顺延。逾期超过 30 天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。甲方的上级或设计审批部 门对设计文件不审批或本合同项目停缓建，甲方均应支付应
15、付的设计咨询费。9.1.5 Party A should pay charges for design consultation to Party B at the amount and date provided in this Contract. For each day of overdue payment, 2 of the overdue payment shall be paid as damages for overdue payment and the time for delivery by Party B shall be extended accordingly. Whe
16、re the delay of payment has exceeded 30 days, Party B shall have the right to suspend the performance of the work at the next stage and give written notice to Party B. In case the higher authority or competent department of design approval would not approve the design documents or the engineering construction of this Contract is suspended or stopped, Party A should pay the payable charges for design consultation.9.1.6 甲方要求乙方比合
