2、道不通畅所致。自新三板退出市场以来，不少 PE 机构积极与新三板市场对接，企图在新市场上分一杯羹，值此新三板向全国围扩容之际，笔者试图探究扩容对我国私募股权基金的影响。在进行基本的理论介绍之后，笔者在理论上分析了新三板扩容对于私募股权投资的影响，包括完善多层次资本市场体系、提供更多的项目选择以及倒逼私募行业规化发展。 在对新三板扩容对私募股权投资的影响有了基本的阐述之后，笔者通过实习期间经历的项目为案例，结合真实案例来分析在实际中新三板扩容对我国私募股权投资的影响，通过对无极道投资对优迈信通信息通讯的投资案例的分析，结合实际的分析出新三板扩容对我国私募股权投资的影响，包括资金募集更加便捷、投资
3、项目围更加广阔、通过与券商合作的共赢模式、扩容新制度对于私募股权基金从新三板渠道退出的重要意义等。 在文章的结尾，笔者对于全文进行了简单的总结，同时根据目前我国新三板乃至整个资本市场发展的状况，对于如何促进新三板发展成为我国的纳斯达克市场，笔者在借鉴国外经验及翻阅诸多研究文献的基础上，提出了一些对应的建议，以期对于新三板市场的繁荣发展作出一些贡献。 关键词：新三板；私募股权投资；扩容；退出渠道 II Abstract Before the new third boards expansion, the PE industry in China developed not well due to
4、 various reasons which is largely caused by the unobstructed exit channel. The author attempts analysis how the expansion influence on PE though the analysis of the present development of PE industry in our country, combining with the times of the new third boards expansion. It mainly contains the f
5、ollowing several aspects: to the multi-level capital market system construction to provide more exit channels, to provide more choice of projects, to normalize private equity industry. After the elaboration of the expansion on PE, the author analysis the new third board influence on PE in reality th
6、ough a case which I experience during my internship. Though the analysis of the case which Guangdong Infinite investment co. LTD invests Guangzhou UCSMY co. LTD, the author analysis the influence in several aspects including fundraising more convenient, more projects to choose, the win-win mode in c
7、ooperation with securities trader, more convenient exit channels for PE to choose etc. At last, the author makes a simple summary for the full text. Then according the current development situation of the new third board and even the whole capital market, the author puts forward some suggestions in
