5、环境、对社会等的贡献。 伴随着经济全球化和资本市场的进步，我国经济迅速发展。在我国以资源高消耗 的粗放型经济增长模式下，我国企业在利用社会资源创造物质财富的同时, 也带来了 一些不容忽视的社会问题, 如“三鹿奶粉”事件、 “皮革胶囊”事件、 “富士康员工自 杀”事件、 “大连石油泄漏”事件等。企业社会责任问题开始得到广泛关注,而且也成 为政府有关部门进行监管的重要问题之一。中国的学术机构、非政府组织以及在华国 际组织开始对社会责任系统地介绍和广泛地研究、讨论。政府部门也开始关注企业社 会责任建设工作。劳动部、商务部调查中国企业社会责任建设情况并制定和采取了一 系列政策措施。 2006 年 9

6、月，深圳市证券交易所正式发布了上市公司社会责任指引 ，2007 年 12 月，国家资产发展委员会发布了关于中央企业履行社会责任的指导意见 ，指出 中央企业履行社会责任的指导思想、基本原则、总体要求和主要内容。2008 年 5 月， 上海证券交易所发布了上海证券交易所上市公司环境信息披露指引 ，建议上市公 司独立披露社会责任报告；2010 年 9 月，中国环境保护部发布第 35 号令上市公司 环境信息披露指南 ，特别提出重污染行业上市公司应当发布年度环境报告，定期披 露污染物排放情况、环境守法、环境管理等方面的环境信息。研究探讨企业社会责任 的履行有助于解决社会就业问题，有助于解决保护资源与环境

7、问题，也有助于缓解社 会民众贫富差距问题，消除社会不安定隐患。 本文以 20092011 年深沪上市公司为样本，剔除了金融公司和一些数据缺失的 公司样本，分别从两方面展开对公司社会责任的研究和探讨。一方面研究股权集中度 对企业社会责任履行产生影响，检验股权集中度越高，上市公司是否越倾向对政府、 投资者和员工和债权人履行社会责任；另一方面探究公司绩效与企业社会责任的关 系，检验我国上市公司对国家、投资者和公益事业的社会责任贡献与公司绩效是否正 摘 要 II 相关；最后结合股权集中度和公司绩效两个方面尝试探究我国上市公司股权集中度和 公司绩效对企业社会责任履行的综合影响。 关键词：股权集中度；公司

8、绩效；社会责任 Abstract III Abstract As important participants, contributors, and even social economic promoters， enterprises is the indispensable element in economic development and all-round social progress. CSR (Corporate social responsibility, hereinafter referred to as the CSR) refers to the enterpris

9、e when in creating profits, undertaking legal responsibility for shareholders, also have responsibility to employees, consumers, community and environment. Corporate social responsibility requires enterprises must go beyond profit as the only goal of the traditional concept, lay stress on the attent

10、ion on the value of people and contribution to the consumers, environment and society in the process of production. With the development of global trade and capital markets progress and the rapid development of economy in our country, especially with high resource consumption of the extensive econom

11、ic growth mode, Chinas enterprises brought some social problem that cannot be ignored, such as “Sanlu milk powder“ incident, “leather capsule“, “foxconn suicides“ events, “Dalian oil spill“ events and so on when they make use of social resources to create material wealth. Thus, corporate social resp

12、onsibility issues arouse wide concern that becomes the focus of social attention and one of the important problems of relevant government departments to regulate. Chinese academic institutions, Nongovernmental organizations (ngos) and international organizations begin to introduce study and discuss

13、on social responsibility widely and systematically. The government also begins to pay close attention to corporate social responsibility construction work. The labor department, the ministry of commerce survey on the construction work of Chinas corporate social responsibility. In September 2006, the

14、 Shenzhen stock exchange formally issued “the guidelines of listed companys social responsibility “in December 2007, the state-owned assets supervision and administration commission issued “the guidance on the central enterprises to fulfill social responsibility “which points out the guiding ideolog

15、y, basic principles, general requirements and the main content for the state-owned enterprises to fulfill social responsibility. In May 2008, the Shanghai stock exchange issued “the guidelines of environmental information disclosure of listed companies of Shanghai stock exchange Abstract IV “which s

16、uggest that the listed company disclose social responsibility report independently; In September of 2010, Chinas ministry of environmental protection released 35th words “guideline to disclose environmental information of listed companies“, especially puts forward the listed company shall publish annual environmental report of heavy pollution industry and disclose some aspects of the environment information like pollutant emissi
