2、立起一套适合国内企业实际情况的 理论和制度以强化企业社会责任，成为一个迫在眉睫的挑战。特别是“三聚氰胺” 事件的发生，多家乳业上市公司暴露出社会责任问题，凸显了我国企业社会责任理 论和实务研究的落后。因此，开展企业社会责任信息披露研究具有重要的理论意义。 企业社会责任问题关系到可持续发展战略的实施，企业社会责任指数已经成为上市 公司市值管理的重要依据。本文在对企业社会责任进行明确界定的基础上，以利益 相关者理论为基础，明确社会责任信息披露的内容。通过对发达国家社会责任信息 披露的研究，及对我国现状的分析，进一步指出改进我国企业社会责任信息披露必 要性。 本文选取我国境内深市、沪市、港市 6 家
3、上市乳业公司，以这些企业的定期报 告、网站主页、企业社会责任报告等为研究样本，分析三聚氰胺事件后，上市乳业 公司社会责任信息披露情况。从半年度报告社会责任披露情况、企业近年社会责任 报告发布情况、企业网站社会责任披露情况三个方面，分析社会责任披露的现状。 最后结合乳业发展态势，强调改进政府主导的，标准保障的信息披露模式，并从信 息披露的内容、形式、工具三个方面指出上市乳业公司信息披露存在的一些问题， 并提出对策及建议。 关键词：关键词：上市乳业公司；社会责任；信息披露；社会责任报告 华 中 科 技 大 学 硕 士 学 位 论 文 华 中 科 技 大 学 硕 士 学 位 论 文 II Abstr

15、流理论认为，追求企业利润最大化就是企业唯一的目标，从而实现股东 利益最大化。与传统的企业角色观不同，上世纪 20 年代出现的企业社会责任理论则 主张，企业应追求多元的目标：除追求企业利润最大化之外，还应提升企业外部相 关利益者的经济和社会效益；即在保证股东利润最大化的同时，也应实现其他相关 利益者的福利最大化。 近年来，企业社会责任报告已经成为新的企业管理和业绩评估的有效工具，也 成为企业经营者与企业利益相关者沟通交流的有效手段。企业社会责任报告是企业 履行社会责任的重要实践。从某种意义上讲，公司是一种社会经济组织，在追求股 东经济效益最大化的同时，理应对其员工、债权人、供应商、消费者、社区、
16、自然 环境和资源、经济和社会的全面发展承担一定的责任。企业社会责任一般是指企业 在创造利润、对股东利益负责的同时，还要承担对企业的利益相关者的责任，保护 其权益，以求不仅在经济方面，更在社会、环境等领域获得可持续发展的能力。企 业社会责任强调企业保护社会公众的利益，以纠正立法上对股东利益的过度保护， 以多元目标代替传统的一元企业目标，以全面价值观取代唯一的利润价值观。 然而，一些企业在发展中存在只讲经济责任不讲社会责任的倾向，认为只要能 够促进经济发展，能给社会提供产品、就业和税收等，热心慈善事业就实现了社会 对企业的基本期望，就算承担了社会责任。还有的企业急功近利，惟利是图，甚至 见利忘义，只追求自身利益，忽视乃至牺牲公众和社会利益的行为。 “三聚氰胺”事件以来，食品安全和质量管理暴露许多的问题，社会各界都在进 行反思，要求企业承担更多社会责任，信息披露更加规范透明。2008 奥运年，河北 石家庄三鹿奶粉的“三聚氰胺”事件发生后，国家相关质量检测部门对国内 109 家乳 业产品企业的 491 批次婴幼儿奶粉进行了统一检验。这次专
