2、oastheSeller”),acompanyincorporatedinHongKongwithitsregisteredofficeatHongKong.公司(以下简称“卖方”，一个在香港成立的公司，注册地在香港；2. (hereinafterreferredtoas“theBuyer”),acompanyincorporatedinChinawithitsregisteredofficeat,.有限公司(以上简称“买方”一个在中国成立的公司，注册地在。BoththeSellerandtheBuyermayindividuallybereferredtoas“Party”orcollect
3、ivelyasthe“Parties”.买卖双方可以分别被称作“各方”或一起指“双方”。Whereas:鉴于：1) TheSellerandtheBuyerhaveagreedtoenterintothisSALESANDPURCHASECONTRACTOFINDONESIASTEAMCOAL(ashereinafterdefined)subjecttothetermsandconditionshereincontained.卖方和买方同意签订本合同，据此，卖方将根据买方按本文所载条款及条件供应动力煤(定义见下文)。2) TermsofContract合同条款ThePartiesherebya
4、greethatthisContractshallbecomeeffectiveonthedateofthisContractandshallcontinueineffectforaperiodofONE(1)year;shallautomaticallyexpireunlessrenewedorextendedinwriting;shallcontinueforaperiodand/ortobemutuallyagreedbythePartiesand/orterminatedinaccordancewiththetermsofthisContract.双方在此同意，本合同应在签订之日起生效

6、uires,thefollowingwordsandexpressionswillhavethefollowingmeaningsrespectivelyascribedtothem:在本合同中，除非所述事项或文意另有所指，下列词语将它们分别归于以下涵义：1) MetricTon:Ameasureofweightequivalenttoonethousandkilograms(1,000kg)公吨：重量的度量单位,相当于一千公斤物体重量。2) BillofLading：Theofficialdocument,issuedattheloadingportaftercompletionofthel
7、oadingoperations,whichstatetheamountloaded,expressedinMetricTons(MT).ThisoriginaldocumenthastobesignedbytheshipsMasterandmadeoutinaccordancewiththeinstructionshereinafterspecifiedintheContract.提单：在装货港装货完成后,装货港签发的正式文件,记录着受载数量,以公吨计量。该文件正本必须由船长签署,并必须以合同中的指示为依据。3) LoadingPort：PortofIndonesiawherethevess
8、elanchoringat/orsuchotherportasthepartiesmayagreetoinwriting.装货港：指船只停泊的印度尼西亚港口,或经双方书面同意的其他港口。4) DischargePort：Thesafeport/berthdesignatedbytheBuyerasfinalreceivingdestination.卸货港：买方指定的安全港口/泊位作为最终的目的港。5) CIF：Cost,InsuranceandFreightstrictlyasreferredtointheinterpretationsdefinedbytheINCOTERMSEdition2
9、000withlatestamendments.严格依据“国际商会国际贸易术语解释通则”2000最新版定义所指的成本+运费+保险6)CCIC：CCICINDONESIAPTELTD.指中国检验认证集团之成员公司。7) ADB：AirDriedBasis.指空气干燥基基准。8) ARB：AsReceivedBasis指收到基基准。9) GCV：GrossCalorificValue指总热值。10) NCV：NetCalorificValue(AsReceivedBasis)指低位收到基基准(收到基净值)。11) Cargo：Meanscoaltobetransported.指装运的煤。12) C
10、oal:SteamcoalexploitedbytheSellerfromIndonesia.指卖方开采的印度尼西亚动力煤。13) kcal/kg:Kilocaloriesofenergyperkilogramofcoal.指每千克煤炭的发热量(千卡)。CLAUSE1COMMODITY第一条商品1.1. Commodity:SteamCoal,NetCalorificValue(AsReceivedBasis)5500kcal/kg.商品名称:动力煤，低位收到基发热量5500Kcal/kg。1.2. CountryofOrigin:Kalimantan,Indonesia.原产地:印度尼西亚位
11、于加里曼丹的煤矿。1.3. Loadingport:TanjungPemancinganport,SouthKalimantan,Indonesia.装货港：印度尼西亚南加里曼丹TanjungPemancingan港。1.4. Dischargeport:RizhaoofShandongProvince,China卸货港：中国山东日照港。CLAUSE2QUANTITY第二条数量2.1. TheSellershallsellandshipandtheBuyershallpurchaseandaccept40000MT(10%)permonthofCoalattheBuyersoption.But
12、totalquantityisnotlessthen600,000MToneyear.买卖双方接受每月300000吨(10%)的煤炭数量或由买方决定。但年交货总量不低于360万吨。2.2. Thefirsttrialshipmentof50,000MT(10%)shallbeshippedwithin30daysafterL/Cissued.第一票5万吨试单交货应在信用证开出后30天内装运。2.3. Fromthe2ndshipmentsof300,000MT(10%)permonthofCoalattheBuyersoptionshallbeshippedwithin30daysaftert
13、heL/Cissued.从第二船开始，由买方决定每月30万吨(10%)的煤炭交货应在收到信用证后30天内交货。2.4. Changetheportofdestination:inthedeliveryprocess,thebuyermayrequesttoChangethedischargeport,butmustnotifythesellerin48hours,thesellerinformedtheShippingside.目的港的变更：在交货过程中，买方可以提出改变卸货目的港的要求，但必须至少在煤船到达卸港前48小时通知卖方，由卖方通知船方执行。CLAUSE3QUALITY/SPECIF
