一、考核范围本方法适用于中国移动 31 个省、自治区、直辖市公司〔以下简称各省公司〕 二、考核指标体系1、净利润上市公司整体业绩考核指标分值 100 分302、营运收入3、总资产报酬率〔ROA〕4、客户满意度省公司自身业绩考核指标年度指标:1、利润2、营运收入3、资本开支占收入比203020分值 100 分 〔年度指标得分92 分+长期指标年度预得分 8 分〕100221684、客户满意度5、网络运行质量6、数据增值业务7、集团客户业务8、中高端客户数9、TD 客户数10、扣减分事项长期指标〔三年期〕 :总资产报酬率〔ROA〕第 1 页 共 14 页1088866(-15 分)2424〔年度预得分 8〕中国移动各省〔区、市〕公司经营业绩考核方法三、考核指标计分方法和标准〔一〕上市公司整体业绩考核指标整体业绩考核是指对上市公司整体经营业绩状况的考核1、净利润〔30 分〕本指标主要考核公司整体净利润完成情况,按照目标法进行考核计分整体净利润目标由公司管理层根据国资委和资本市场的要求确定当整体净利润实际完成值不低于目标值时,得30 分;当实际完成值不高于目标值的 60%时,得 0 分;当实际完成值处于目标值的 60%-100%之间时,线性得分。

2、营运收入〔20 分〕本指标主要考核公司营运收入完成情况,按照目标法进行考核计分整体运营收入目标由公司管理层根据国资委和资本市场的要求确定当整体营运收入实际完成值不低于目标值时,得20 分;当实际完成值不高于目标值的 60%时, 得0 分; 当实际完成值处于目标值的60%-100%之间时,线性得分3、总资产报酬率〔ROA,30 分〕本指标主要考核公司总资产创利能力, 按照目标法进行考核计分整体 ROA 目标值由公司管理层根据国资委和资本市场的要求确定当整体 ROA 实际完成值不低于目标值时,得30 分;当实际完成值低第 2 页 共 14 页中国移动各省〔区、市〕公司经营业绩考核方法于目标值 3 个百分点〔含〕以上时,得 0 分;当实际完成值处于低于目标值 3 个百分点至目标值区间内,线性得分4、客户满意度〔20 分〕本指标主要考核公司在客户满意度方面相对竞争对手所保持的领先程度客户满意度由各省公司整体综合满意度加权平均得到 竞争对手客户满意度以中国电信移动客户和中国联通移动客户中综合满意度表现较高者确定客户满意度领先程度=省公司当年客户满意度-竞争对手当年客户满意度当领先程度在 4 个百分点以下时,按如下公式计算得分,最低为 0分:客户满意度领先程度得分 = ×124%当领先程度为 4 个百分点时,得 12 分;当领先程度在 13 个百分点〔含〕以上时,得 20 分;当领先程度在 4 个百分点至 13 个百分点之间时,按如下公式计算得分:客户满意度领先程度得分 =9%− 4%×+8 12〔二〕省公司自身业绩考核指标省公司自身业绩考核是指对省公司各自经营业绩状况的考核。

省公司自身业绩考核指标包括年度指标和长期指标,两者的考核期间不同,前者考核期间为一个会计年度,后者考核期间为连续三个会计年度除 ROA 指标为长期指标外,下述其他指标均为年度指标第 3 页 共 14 页中国移动各省〔区、市〕公司经营业绩考核方法1、利润〔22 分〕本指标主要考核省公司盈利能力和利润预算完成情况,包括净利润和EBITDA率两项指标,两项指标的得分之和为本指标最终得分 本指标按照目标法辅以改善法、 比高法进行考核计分, 各省公司净利润和EBITDA率目标值、所在组净利润率均值由总部核定下达〔1〕净利润〔15 分〕当净利润实际完成值不低于目标值时,得15 分;当实际完成值不高于目标值的 60%时,得 0 分;当实际完成值在目标值的 60%-100%之间时,线性得分在按照以上规那么计分的根底上,对于上年净利润率水平低于省公司所在组上年净利润率均值且净利润下降的省公司, 再按照如下规那么计分:当净利润降幅超过 10%的, 最高得到12 分; 当净利润降幅在8% 〔不含〕到 10%〔含〕之间的,最高得到 13 分;当净利润降幅在 4%〔不含〕到 8%〔含〕之间的,最高得到14 分;当净利润降幅在4%〔含〕以内的,最高得到 15 分。

〔2〕EBITDA 率〔7 分〕当 EBITDA 率实际完成值不低于目标值时,得4 分;当实际完成值低于目标值 2 个百分点〔含〕以上时,得 0 分;当实际完成值在低于目标值 2 个百分点至目标值区间时,线性得分在按照以上规那么计分的根底上, 当EBITDA 率实际完成值不低于省公司所在组当年 EBITDA 率完成值均值时,再得3 分;当实际完成值低于上述均值 4 个百分点〔含〕以上时,不得分;当实际完成值在低于上述均第 4 页 共 14 页中国移动各省〔区、市〕公司经营业绩考核方法值 4 个百分点至上述均值区间时,再线性得分2、营运收入〔16 分〕本指标主要考核省公司营运收入预算完成情况, 按照目标法辅以改善法进行考核计。
