1、国际商务合同中的通知条款（中英文对照）合同中的通知条款主要用于合同各方通知的便利，是合同各方正确履行通知义务的关键。通知是否已经到达对方，有时候是区分合同各方权利和义务的关键所在。该条款在合同条款当中非常重要。我国法律对于通知采用“送达主义”，即通知到达对方时生效；英美法系采取“发送主义”，通知发送就视为对方已经收到。通知 Notice所有通知用文写成，并按照如下地址用传真/电子邮件/快件送达给各方。如果地址有变更，一方应在变更后日内书面通知另一方。All notice shall be written in _ and served to both parties by fax/courie

4、en as of the date it is: (a) delivered by hand; (b) by overnight or next day delivery; (c) received by Registered or Certified Mail, postage prepaid, return receipt requested; or (d) received by facsimile, as can be presumptively demonstrated by return fax or letter demonstrating successful facsimil
5、e transmission; and addressed to the party to receive such notice at the address(es) and/or facsimile telephone number(s) set forth below, or such other address as is subsequently specified to the notifying party by the receiving party in writing.本协议项下所有通知应当以书面形式为之，并且在下列情况下视为已经交付： (a) 专人递送； (b) 经由隔日
6、送达业务递送； (c) 由挂号邮件或保证邮件方式接受，邮资预付，需要回执； (d) 由传真接收，并回传真或信函证明已经成功发送；通知应当按照下列地址送交当事人，或按照下列电话号码传送，或者按照接受一方最近书面通知的地址或号码为：双方之间的联系应以书面形式进行，涉及重要事项的传真应随后立即以挂号信件或特快专递确认。All communications between the parties shall be in English in written form during implementation of Contract. 7、s shall be confirmed timely by registered or express mails.Any notice or written communication provided for in this Contract by either Party to the other, including but not limited to any and all offers, writings, or notices to be given hereunder, shall be made in language and delivered: (a)本合同规定一方向
8、另一方发出的通知或书面函件（包括但不限于本合同项下所有要约、书面文件或通知）均应以语言制作，并通过以下方式送达相应一方：Notices given by personal delivery shall be deemed effective on the date of personal delivery，provided that receipt shall be acknowledged in writing by the receiving party.在专人送达之日视为生效，但收件方应书面确认已收到通知。(ii) by courier service delivered letter;
9、 or (ii) 专递信函；或(iii) by facsimile. (iii) 传真。(b) Notices shall be deemed to have been delivered at the following times: (b)在以下时间通知被视为已经送达：if by courier, the fifth Business Day after the date of dispatch; and如果是以专递信函方式送达，为递交日后的第五 个营业日；且if by fax, upon the next Business Day following the date marked on
10、 the confirmation of transmission report by the senders fax machine, indicating completed uninterrupted transmission to the relevant facsimile number.如果是以传真的方式送达，为发送传真方的传真机发送的报告确认书（表明已向相关传真号码发送完整的、未中断的传真）上标记的日期后的下一个营业日。(i) if in writing and delivered in person or by courier, on the date it is delive

12、t will be on the sender and will not be met by a transmission report generated by the senders facsimile machine);如用传真发送，则为收件方之负责员工收到字迹清楚之传真当日(双方同意，发件方就收件方是否收到该通知应负举证责任，发件方传真机打印之传真报告将不足以尽该举证责任)；(iv) if sent by certified or registered mail (airmail, if overseas) or the equivalent (return receipt reque
13、sted), on the date it is delivered or its delivery is attempted;如用挂号邮递(如在外国，则为航空邮件)或同等之邮递方式发出(需送件收据)，则为邮件交付或提出交付当日；(v) if sent by electronic messaging system, on the date it is received; or如用电子讯息传送，则为收到电子讯息当日；或(vi) if sent by e-mail, on the date it is delivered,如用电子邮件传送，则为交付当日，Any notice or written
14、communication provided for in this Contract by either Party to the other, including but not limited to any and all offers, writings, or notices to be given hereunder, shall be made in language by courier service delivered letter or by facsimile or electronic mail and confirmed by courier service del

The date of receipt of a notice or communication hereunder shall be the date of delivery confirmed by the courier service in the case of a courier service delivered letter and the next working day after dispatch in the case o
