1、Section 3. General Conditions of Contract 第3部分 合同一般条款AGeneral 总述1.Definitions定义1.1The following words and expressions shall have the meaning hereby assigned to them. 2、 Related Services by the Supplier in accordance with the terms and conditions set forth in the Contract; 完成计划是指供应商根据合同中所述条款完成了相关服务。(b)Contract Agreement means the Agreement entered into between the Purchaser and the Supplier, together with the Contract Documents referred to therein, including all at
3、tachments, appendices, and all documents incorporated by reference therein;合同协议是指采购方与供应方达成的协议，连同此处涉及的合同文件，包括所有的附件、附录和参考文献组成的所有文件(c)Contract Documents means the documents listed in the Contract Agreement, including any amendments thereto; 合同文件是指合同协议中列出的文件，包括任何修改件。(d)Contract Price means the price pay
4、able to the Supplier as specified in the Contract Agreement, subject to such additions and adjustments thereto or deductions therefrom, as may be made pursuant to the Contract; 合同价格是指合同协议中规定的应付给供应商的价格，受合同中补充、调整或削减等条款的约束。(e)Day means calendar day; 天是指日历天数(f)Delivery means the transfer of ownership of
5、 the Goods from the Supplier to the Purchaser in accordance with the terms and conditions set forth in the Contract;发货是指根据合同中的条款从供应商到采购方产品所有权的转换。(g)GCC mean the General Conditions of Contract; GCC是指合同的一般条款。(h)Goods means all of the commodities, raw materials, machineries and equipments, products and
6、/or other materials in solid, liquid or gaseous form that the Supplier is required to supply to the Purchaser under the Contract, as specified in the PCC; 产品是指根据合同PCC中规定，供应商应向采购方提供的所有物品、原材料、机器和设备、产品和/或其他固态、液态或气态形式的材料。(i)Government means the Government of the Peoples Republic of Bangladesh; 政府是指孟加拉人民
7、共和国(j)Purchaser means the entity purchasing the Goods and Related Services, as specified in the PCC; 采购方是指按PCC中规定，采购产品和相关服务的机构(k)Related Services means the services incidental to the supply of the goods, such as insurance, installation, training and initial maintenance and other similar obligations
8、of the Supplier under the Contract;相关服务是指供应产品的附带服务，包括合同规定的供应商应提供的保险、安装、培训、初始维护和其他类似义务。(l)PCC means the Particular Conditions of Contract; PCC合同的特殊条款(m)Sub-Contractor means any natural person, private or government entity, or a combination of the above, including its legal successors or permitted ass
9、igns, who has a Contract with the Supplier to carry out a part of the supply in the Contract, or a part of the Related Services of the Contract;分承包商是指任何自然人、私营或政府机构或以上的组合，包括法定继承人或许可的指定人，此许可指定人与供应商签订合同或履行合同中一部分的产品供应或服务供应。(n)Supplier means the natural person, private or government entity, or a combinat
10、ion of the above, whose Tender to perform the Contract has been accepted by the Purchaser and is named as such in the PCC and the Contract Agreement, and includes the legal successors or permitted assigns of the Supplier;供应商是指自然人、私营或政府机构或以上组合，其运行合同的投标被采购方接受并被作为供应商列入PCC和合同协议，包括法定继承人或供应商许可的指定人。(o)Writ
11、ing means any hand-written, type-written, or printed communication including telex, cable and facsimile transmission记录包括任何手写的、打印的或交流内容的打印件，包括电传、电缆和传真。(p)PAC means Provisional Acceptance Certificate. PAC是指临时验收合格证(q)FAC means Final Acceptance Certificate. FAC 是指最终验收证书2.Contract Documents合同文件2.1Subject
12、 to the order of precedence set forth in the GCC Sub-Clause 5.1, all documents forming the Contract (and all parts thereof) are intended to be correlative, complementary, and mutually explanatory. 遵从GCC副条款5.1中的优先次序。构成合同的所有文件（所有部件）应是有关联的、相辅相成的和互相解释。3.Corrupt, Fraudulent, Collusive or Coercive Practic
13、es行贿、欺诈、共谋或强制性活动3.1The Government requires that Purchasers, as well as Suppliers, shall observe the highest standard of ethics during the implementation of procurement proceedings and the execution of contracts under public funds. 政府规定采购方和供应商在公共基金下进行采购和履行合同时应遵守道德的最高标准。3.2In pursuance of this require
14、ment, the Purchaser shall: 为达到要求，采购方应：(a)Exclude the Supplier from participation in the procurement proceedings concerned or reject a proposal for award; and 禁止供应商参与相关采购程序或反对授予的提议；且(b)Declare a Supplier ineligible, either indefinitely or for a stated period of time, from participation in procurement
15、 proceedings under public funds; 宣布一个供应商无限期或指定时间内无资格在公共基金下参与采购事宜If it at any time determines that the Supplier has engaged in corrupt, fraudulent, collusive or coercive practices in competing for, or in executing, a contract under public funds. 如果在任何时间确定供应商在公共基金下为竞标或执行合同参与了行贿、欺诈、共谋或强制性的活动3.3Should a
16、ny corrupt, fraudulent, collusive or coercive practice of any kind referred to in GCC Sub-Clause 3.4 hereunder come to the knowledge of the Purchaser, it shall, in the first place, allow the Supplier to provide an explanation and shall, take actions as stated in GCC Sub-Clause 3.2 and GCC Sub-Clause 38.1(c) only when a satisfactory explanation is not received.
