1、保 密 合 同Contract of Confidentiality 甲方： Party A: 地址： Address: 乙方：Party B: 地址：Address: 甲方委托乙方为甲方进行 项目（简称“ ”项目）咨询和实施事宜，鉴于在此项目实施过程中甲乙双方将互相了解到对方的不对外披露的经营信息及其他商业秘密，为保护各秘密持有方的权益，双方就项目实施过程中保密问题达成如下协议：Party A entrusts Party B to carry out the consultancy and implementation of the Li Ning-Ambow e-learning cou
2、rse making Project (hereinafter “the Project”) for Party A. Whereas in the course of the implementation of the Project Parties hereto will know the operation information and other commercial secrets of each other that are not disclosed to the public, in order to protect the interests of respective s
3、ecret holders, both Parties hereby agree as follows with respect to the confidentiality issue in the course of the implementation of the Project:1. 定义1. Definition 1.1 “保密信息”系指信息提供方向信息接受方提供的，关于信息提供方的包括（但不限于）经营、财务、人事、内部管理等提供方未对外公开宣布并采取保密措施的，并要求信息接受方给予保密的各种信息，包括但不限于：1.1 “Confidential Information” refe
4、rs to all kinds of information provided by the information providing party to the information receiving party about the information providing party, including but not limited to the information of operation, finance, personnel, internal management that the information providing party has not disclos
5、ed to the public, has taken security measures and requires the information receiving party to keep confidential, including but not limited to the following:(1) 发展规划策略、市场营销计划、商务信息、商业机密等；(1) development planning strategy, marketing plan, business information and commercial secrets;(2) 客户名称及清单，客户的其它详细资
6、料，销售目标、销售统计表、销售办法及诀窍，市场份额统计表，价格策略，市场研究报告，广告、或其它促销资料等；(2) customer names and list, other details of customers, sales targets, sales statistics tables, sales approach and knack, market share statistics tables, price strategies, marketing research report, advertisement and other promotional materials;
7、(3) 财务信息、开户银行资料、组织架构、股东资料、投资背景等；(3) financial information, bank details, organizational structure, shareholder information and investment background;(4) 公司知识产权（不论是公司独自拥有的，或是和其他方共同拥有的，亦不论是现有的，或将来开拓发展的），包括但不限于尚未正式使用的公司或产品的商标，软件及相关程序、资料的著作权，专利及非专利技术、商业秘密，安装及维护方面的信息等；(4) intellectual property rights of
8、the company (no matter whether it is owned by the company alone, or together with other parties, now or to be exploited and developed in the future, including but not limited to the trademark of the company or products that has not been used formally, copyright of software along with related program
9、me and information, patent and non-patent technology, trade secrets, information regarding installation and maintenance; (5) 本次项目合作的事实和细节;(5) cooperation facts and details of the present Project;(6) 将来的资金项目，营业发展或计划，商业关系和谈判等；以及(6) capital project, business development or plan, business relationship a
10、nd negotiations in the future; and(7) 双方以后随时签署的保密信息传递记录中记述的信息。(7) information stated in the Confidential Information Transmission Record signed by the Parties hereto at any time.1.2 “关联公司”是指相互之间存在关联关系的公司。关联关系，则是指公司控股股东、实际控制人、董事、监事、高级管理人员与其直接或者间接控制的企业之间的关系，以及可能导致公司利益转移的其他关系。1.2 “Affiliated Companies”

The affiliated relationship refers to the relationship between the controlling shareholder of the company, actual controller, director, supervisor and senior manager and the companies controlled by them directly or indirectly and
12、other relationship that may result in the transference of the interests of the company.2. 保密义务2. Confidentiality Obligations信息接受方须承担以下保密义务：The information receiving party shall undertake the confidentiality obligations as follows:(1) 应对信息提供方提供的信息加以保密，不得向雇员或任何第三方透露该信息； 如因双方合作进展而使接受方雇员或接受方的分支机构、关联公司的雇
13、员或主管，以及接受方的顾问、银行、经纪人、代理商、会计和与业务有关的律师等专业机构及其工作人员必须使用该信息，则接受方必须保证使用信息的雇员及其他第三方亦接受本保密合同的约束, 对其保密职责和侵权责任负责；否则，接受方将承担因雇员违约而给信息提供方造成的损失。(1) shall keep confidential the information provided by the information providing party and shall not disclose such information to the employee thereof or any third party
14、; provided that the employee or subsidiary thereof, employee or person in charge of the affiliated companies, and the information receiving partys consultant, bank, broker, agent, accountant, lawyer related to the business, and other professional institutions alike and the staff thereof must use suc
15、h information due to the cooperation of both Parties, the receiving party shall ensure that the employee and other third party using the information are also constrained by this Confidentiality Contract and responsible for its confidentiality duties and tort liabilities. Otherwise, the receiving par
16、ty shall bear the loss caused to the information providing party that arises from the breach of the employee.(2) 仅将该信息因执行本项目的需要用于双方合作的范围内，未经信息提供方书面许可，不得将该信息用于其它范围或场合。(2) shall only use the information within the scope of both Parties cooperation for the needs of implementing this Project; and without written consent of the information providing party, shall
