1、布连电厂一期2660MW机组全厂检修起吊设施采购合同 合同编号：GDJM-ZYN-TY11-052国电建投内蒙古能源有限公司布连电厂一期2660MW超超临界燃煤空冷机组全厂检修起吊设施供应合同书本合同是中国法人国电建投内蒙古能源有限公司作为买方,与中国法人国电国际经贸有限公司作为卖方，在友好协商的基础上签署的，其条款如下：1、 定义1.1 “买方”指国电建投内蒙古能源有限公司。1.2 “卖方”指国电国际经贸有限公司。1.3 “项目”指国电建投内蒙古能源有限公司布连电厂一期2660MW超超临界燃煤空冷机组。1.4 “合同”指买方和卖方（以下简称合同双方）已达成的协议，即由双方签订的合同格式中的文
2、件。1.5“合同总价格”指根据合同规定，买方应支付给卖方的款项。1.6“合同设备/材料”指卖方按合同要求，须向买方提供的设备/材料。1.7“技术资料” 指合同材料的设计、制造、监造、检验、安装、调试、试运行、检修维护、性能试验和技术指导等文件（包括图纸、各种文字说明、标准、各种软件等）。1.8“生效日期”指合同条款第6.1条中规定的所有条件得到满足时的日期。1.9 “日、月、年” 指公历的日、月、年；“天” 指24小时；“周” 指7天。2、 供货范围2.1 合同供货范围：全厂检修起吊设施。2.2 合同供货范围包括了合同规定的所有设备/材料。卖方应严格按最终确定的数量、重量供货。3、合同价格合同
3、总价为：卖方履行在本合同项下卖方的所有责任和义务的合同(现场交货) 总价为263.3464（人民币大写：贰佰陆拾叁万叁仟肆佰陆拾肆元整）。具体结算金额以项目确认的实际需要的供货量为准。4、 支付4.1 本合同使用货币种类为人民币。4.2 付款方式：银行汇票、转帐支票或电汇。4.3 合同款的支付：4.3.1 卖方按交货顺序在规定的时间内将每批设备（部组件）运到交货地点，并将金额为该批设备价格90%的财务收据(正本一份，复印件二份)、清单、质量检验合格证明、货运提单和买方接收单（均为正本一份，复印件二份）、保险单提供给买方，买方验明无误后一个月内，支付该批设备价格的90%。卖方在每套合同设备最后一
4、批交货时，还应提交金额为每套合同设备价格的100%的增值税专用发票（正本一份、复印件二份）。4.3.2 剩余的合同总价的10%作为合同设备的质保金，在合同设备质保期满签署最终验收证书和卖方提供合同总价金额10%的财务收据给买方后，买方在30日内支付10%给卖方，卖方如需赔偿，买方有权从最后一笔付款或从履约保函中扣除。（1）金额为该套合同设备价格10%的财务收据（正本一份，复印件二份）。（2）买方签发的该套合同设备最终验收证书的复印件一式五份。5、交货和运输5.1卖方负责设备/材料的供货和运输，本合同设备/材料的交货期及交货顺序应满足现场安装进度和顺序的要求。5.2具体交货时间为：2011年9月
5、30日。5.3交货地点为：国电建投内蒙古能源有限公司布连电厂一期2660MW超超临界燃煤空冷机组施工现场。6、 合同生效及其他6.1 本合同生效需满足下列条件：本合同经双方法定代表人或委托代理人(须经法定代表人书面授权委托)签字，加盖合同专用章后生效。6.2 本合同未尽事宜，可由双方另行协商，签订书面文件，作为本合同的附件。本合同的附件为本合同不可分割的组成部分，如果附件与合同正文不一致，合同正文效力优先。6.3 对本合同条款的任何补充、增添或修改应以书面方式进行并由双方授权代表签字并加盖公章。它们应作为本合同的组成部分并与合同正文具有同等效力。6.4 本合同任何条款的无效或不可执行，不影响其
6、他条款的有效性和可执行性，也不影响整个合同的效力。6.5 任何一方向对方提出通知/要求应以书面方式(传真或特快专递发送)，在取得对方或通讯设施接收确认后，即被认为已经被对方正式接收。6.6在执行合同过程中所发生的任何争议应首先通过友好协商解决。6.7 本合同一式六份，双方各执三份。7、买卖双方的责任7.1 卖方责任7.1.1卖方在买方委托范围内，保证买方的交货工期，降低工程造价，使买方的资金效益最大化。卖方保证提供的服务符合我国现行有关法律、法规，符合国际惯例及中国国电集团公司管理制度的规定，维护买方的合法利益。7.1.2办理合同设备的收、付款，协调该设备、材料的的交货、索赔等事宜。7.1.3
7、协助买方联系、催办采购合同项下技术服务等其他未尽事宜。7.1.4在执行合同期间，卖方承办本合同项下的商务文件和函电并及时向买方通报重大事宜。卖方应与买方及时沟通，研究解决执行合同中的有关问题。组织、协调买方处理好在现场设备的安装、调试、验收过程中发生的、不符合相关合同规定的设备性能的缺陷等技术和商务方面的问题。7.1.5 卖方必要时派员参加设计联络会议。7.2 买方责任7.2.1买方应按本合同规定及时支付相关款项,避免延误对外付款,造成交货期延迟。7.2.2合同设备运送到现场后,买方工作人员应及时配合同卖方运输人员做好卸货、签收工作。如果发生货物受损情况,买方应做好保全货物受损证据和相关资料的
