5、aniesAct,2004orasthesamemayberevisedfromtimetotime,oranyotherlawoftheBritishVirginIslands.6 LIMITATIONSONTHECOMPANYSBUSINESSForthepurposesofsection9(4)oftheActtheCompanyhasnopowerto:(a) carryonbankingortrustbusiness,unlessitislicensedundertheBanksandTrustCompaniesAct,1990;(b) carryonbusinessasaninsu
6、ranceorasareinsurancecompany,insuranceagentorinsurancebroker,unlessitislicensedunderanenactmentauthorisingittocarryonthatbusiness;(c) carryonthebusinessofcompanymanagementunlessitislicensedundertheCompaniesManagementAct,1990;(d) carryonthebusinessofprovidingtheregisteredofficeortheregisteredagentfor
7、companiesincorporatedintheBritishVirginIslands;or(e) carryonthebusinessasamutualfund,mutualfundmanagerormutualfundadministratorunlessitislicensedundertheMutualFundsAct,1996.7 AUTHORISEDSHARES(a) TheCompanyisauthorisedtoissueamaximumof50,000sharesofoneclasswithaparvalueofUSD1.00each.(b) Thesharesinth

13、eneuterandreferencestopersonsshallincludecorporationsandalllegalentitiescapableofhavingalegalexistence.SHARES2 Everypersonwhosenameisenteredasmemberintheshareregister,beingtheholderofregisteredshares,shallwithoutpayment,beentitledtoacertificatesignedbyadirectororunderthecommonsealoftheCompanywithorw
14、ithoutthesignatureofanydirectororofficeroftheCompanyspecifyingtheshareorsharesheldandtheparvaluethereof,providedthatinrespectofsharesheldjointlybyseveralpersons,theCompanyshallnotbeboundtoissuemorethanonecertificateanddeliveryofacertificateforasharetooneofseveraljointholdersshallbesufficientdelivery
15、toall.3 Ifacertificateiswornoutorlostitmayberenewedonproductionofthewornoutcertificate,oronsatisfactoryproofofitslosstogetherwithsuchindemnityasthedirectorsmayreasonablyrequire.AnymemberreceivingasharecertificateshallindemnifyandholdtheCompanyanditsofficersharmlessfromanylossorliabilitywhichitorthey
