3、对公司多元化经营的相关文献进行回顾，并且针对中国上市公司多元化动因，多元化对上市公司短期绩效和长期绩效的影响，多元化对上市公司的公司价值的影响三个议题，提出了一些有别于已往文献的观点和分析。此外，本文利用panel数据从动态的角度对上市公司多元化进行探讨，这在中国已往的实证研究文献中尚不多见。在对上市公司多元化动因的研究里，本论文利用光大金融研究公司的股票池里面的263家上市公司1999年度到2003年度的panel数据资料，从宏观经济层面，产业经济层面，公司特性，公司治理结构等层面来探讨转轨经济中的上市公司多元化的决定因素。实证结果显示：产业经济层面，公司规模及R&D投入比例，公司股权结构是
4、上市公司多元化的主要决定因素。在对多元化多公司短期绩效和长期绩效的研究里，本论文利用同样的数据资料，在前一议题研究的基础上，分别以公司多元化宣告的累计股价报酬率衡量短期绩效和以公司年度财务绩效衡量长期绩效。实证结果显示：公司多元化在本文的考察样本中的确是影响了上市公司的财务绩效，而影响多元化前后公司财务绩效的因素主要还是一些公司本身的特性。所以从某种意义上讲，本文的研究并不一定能有力的说明多元化策略本身对公司财务绩效起了正面作用。在对多元化对公司价值的研究里，本论文利用同样的数据资料，在前二个议题的基础上，构建了公司多元化的自我选择模型。实证研究显示：上市公司多元化经营本身是中性的;上市公司实
