Provider agrees that all intellectual property rights in the work shall vest in the Client immediately upon creation, regardless of registration or filing, and that Provider shall waive any and all moral rights in such work.5. CONFIDENTIALITY. Provider shall not disclose any
6、 confidential information of the Client, including without limitation trade secrets, business plans, or client information, to any third party without the prior written consent of the Client.6. INDEMNIFICATION AND LIMITATION OF LIABILITY. Provider shall indemnify and hold Client harmless from any an
7、d all claims arising out of Providers services under this Agreement. In no event shall either party be liable for any consequential, indirect, incidental, punitive, special or exemplary damages arising out of or in connection with this Agreement, even if such party has been advised of the possibilit
8、y of such damages.7. GOVERNING LAW AND JURISDICTION. This Agreement shall be construed in accordance with and governed by the laws of the State of Client State without giving effect to its conflict of laws provisions. The parties irrevocably submit to the exclusive jurisdiction of the federal and st
9、ate courts located within such State.8. ENTIRE AGREEMENT.
