10、e contract number, name ofvessel,eta of vessel, quantity to be loaded and the name of shipping agent, so asto enable the seller to contact the shipping agent direct and arrange the shipment of the goods. the seller shall advise by cable or telex in time the buyer of the result thereof. should, for c
11、ertainreasons,it bee necessary for the buyer to replace the named vessel with another one,or should the named vessel arrive at the port of shipmentearlierorlater than the date of arrival as previously notified to the seller,thebuyer or its shipping agent shall advise the seller to this effect in due

13、剧的内容和拍摄电视剧集、电影及小说等权利。是项权利的转让，甲方愿意支付总额人民币 万元正￥，_予乙方作为获得该剧在的独家版权。乙方已于合约书内表示同意是项权利的转让并承受该酬金作为唯一的代价。双方同意酬金须于本合约书签署日起计_天内支付。此外，乙方同意甲方因行使上述权利而制作的产品；其永久版权及因此而衍生的一切利益及权益只属甲方独有，与乙方无涉。3乙方保证自合同签定之日三年内不会将 _ _两部电视剧集的中国地区播映权销售于任何第三者在中国地区播映。如因此而使甲方蒙受的任何经济损失，乙方同意承当一切后果。4乙方声称并无亦不会受权任何第三者享用甲方的部份或全部受权。5乙方保证并无把上述权利用作任何
14、借贷或抵押之用，或牵涉于任何财务安排及法律纠纷之中。倘甲方因行使或处置上述权利而蒙受任何经济的损失，乙方同意承当一切的后果。6甲方可自由使用、处置、转让或受权任何第三者行使上述权利及自行与第三者订立任何条款。除此之外，乙方同意甲方有权向第三者收取任何报酬或利益，与乙方无涉。7乙方承诺在任何情况下，不会与第三者订立任何条款导致甲方无法自由使用上述权利或于行使上述权利时受到任何限制或约束，或导致甲方须向乙方或第三者缴付除本合约书内第2条条款所订的酬金以外的任何费用、金额或负上任何法律及经济责任。8乙方同意倘有任何第三者进犯甲方所获授的权利，甲方可自由采取一切必要的法律行动，务以保障及维护上述权利，
15、唯一切因此而引致的费用须由乙方承当。乙方承诺必会采取有效的法律行动以维护上述权利的完好性及独有性及在甲方的要求下提供一切必要的协助。9乙方同意提供一切必要及合理的协助，包括签发有关的受权书予甲方，俾使甲方可有效地行使上述权利及证明其为上述权利的独家及合法的版权人。并同意配合甲方在大陆的造势宣传。10本合约书的内容必须保密，不许外涉予任何第三者。倘任何一方披露本合约书内任何保密内容予第三者，此举被视作违约论。违约者须承当一切的后果并赔偿另一方因此而蒙受的损失。11 任何一方如未能履行本合约书内的任何条款，并予接获另一方的通知要求履行有关的责任三十天后，仍没有作出任何补求，将被视作违约论。违约者须承当一切的后果并赔偿另一方因此而蒙受的损失。12 本合约书一式两份，自双方签署后立即生效，本合约书的订立，解释及执行受中华人民共和国法律的管辖，双方不可撤销地愿意承受中华人民共和国法庭的排他性司法管辖。甲方：_乙方：_
