3、ate，completeandtimely，andtheinformationdisclosedshallnotcontainanyfalsehood，misleadingstatementormajoromission. informationdisclosuremadetoallinvestorsbyobligorsshallbepublicandsimultaneous. wherealistedcompanyissuessecuritiesandderivativesinthechinaoroverseasstockmarkets，theinformationdisclosuremad

6、erimreports. article6listedcompaniesandotherinformationdisclosureobligorsshallsubmitthedraftpublicannouncementandtherelevantdocumentsforinspectiontothestockexchangeforregistrationwhenmakinginformationdisclosurepursuanttolaw，andmaketheannouncementonmediadesignatedbythechinasecuritiesregulatorycommiss
7、ion（hereinafterreferredtoasthe”csrc”）. thetimingoftheinformationannouncedonthecorporatewebsiteandothermediabyaninformationdisclosureobligorshallnotprecedetheannouncementofsuchinformationinthedesignatedmedia;thereportingandpublicannouncementdutiesmaynotbeintheformofapressconferenceorreplytoquestionsp
8、osedbyreportersorinanyotherform;andthedutytomakeinterimreportsmaynotbesubstitutedwitharegularreport. article7informationdisclosureobligorsshallsubmitthedraftpublicannouncementandtherelevantdocumentsforinspectiontothesecuritiesregulatorybureauattheplaceofregistrationofthelistedcompany，andmakecopiesof
9、thesameavailableatthecompanyaddressforinspectionbymembersofthepublic. article8informationdisclosuredocumentsshallbewrittenintext.whereaninformationdisclosuredocumentisalsowritteninaforeigntext，theinformationdisclosureobligorshallensuretheconsistencyofthecontentsinbothversions.whereanyinconsistencyar

13、ncement article11prospectusespreparedbyissuersshallcomplywiththerelevantprovisionsofthecsrc.anyinformationwhichmaysignificantlyaffecttheinvestmentdecisionofaninvestormustbedisclosedintheprospectus. theissuershall，uponapprovalofthesecuritiespublicofferingapplicationbythecsrc，makeapublicannouncementof
14、theprospectuspriortothesecuritiesoffering. article12thedirectors，supervisorsandseniormanagementpersonnelofanissuershallsignandendorsetheprospectusandensuretheveracity，accuracyandcompletenessofinformationdisclosedtherein. theprospectusshallhavethecompanysealoftheissueraffixed. article13whereanissuera
15、ppliesforinitialpublicoffering，theissuershall，uponacceptanceoftheapplicationdocumentsbythecsrcbutpriorexaminationbytheofferingreviewcommittee，discloseadraftdeclarationoftheprospectusonthecsrcwebsiteinadvance. thedraftdeclarationoftheprospectusdisclosedinadvanceisnotaformaldocumentforissuanceofshares
16、bytheissuerandshallnotincludeanypricinginformation;andtheissuershallnotissuesharesbasedonthedraftdeclarationoftheprospectus. article14whereanimportantmatteroccursduringtheperiodafterthecsrcapprovestheissuanceofsecuritiesapplicationbutbeforeissuanceiscomplete，theissuershallsubmitawrittenexplanationtothecsrc;andarevisedprospectusoracorrespondingsupplem
