2、sses甲方在中国生产和销售产品；乙方生产和销售产品(以下称“许可产品”)，拥有许可产品的专利(以下称“专利”)和号注册商标；whereaspartyaisengagedinmanufacturingandsellinginchina；andwhereaspartybisengagedinmanufacturingandselling(hereinaftercalled“licensedproduct”)andhasamericanpatentrightstolicensedproduct(hereinaftercalled“patents”)andregisteredtrademarkno.
3、(hereinaftercalled“trademark”；)and甲乙双方认为按照中华人民共和国的法律成立共同所有的公司(以下称合营公司”)，在地从事生产、销售和开发许可产品，对双方都是有利的；whereasthepartiesconsideritmutuallyadvantageoustoorganizeajointlyownedcorporation(hereinaftercalled“jointventure”)underthelawsofthepeoplesrepublicofchinatoengageinthemanufacture，saleanddevelopmentoflice

9、alexchange，jointventureistousestate-of-the-artandappropriatetechnologyandequipmen，twithefficientmanagementsystems，toproducelicensedproductwhichshallbeoftopqualityandcompetitiveintheworldmarkets，soastoachievesatisfactoryeconomicreturns.2. 合营企业生产(许可产品)，生产能力为每年。合营企业将努力改进许可产品，改善管理，以适应国际竞争。2. jointventur
10、eistoproduct(licensedproduct)withaproductioncapacityofperyear.jointventureshalldoitsbesttoimprovelicensedproductandmanagementsoastobeabletomeetcompetitionworldwide.3. 合营企业尽可能开发许可产品的新品种，以满足国内外市场的发展需要。3. jointventureshall，ifpossible，developnewvarietiesoflicensedproductinordertokeepupwithmarketdevelopm
