1、国际贸易合同协议英文版国际贸易合同协议英文版BUSINESS AGREEMENTTHIS AGREEMENT made and entered into under the doctrine of good faith by and between:O-Line, a Chinese corporation having its principal office at XXXXXX andPIUS W. XXXX, an independent consultant having its principal office at XXXXXXXTHIS AGREEMENT relates to
2、the products which O-Line Technology designs and/or produces (THIS PRODUCT).ARTICLE-1: PurposeThe purpose of THIS AGREEMENsThall be both XXXXTechnology and XXXX benefit by widely disseminating THIS PRODUCT.ARTICLE-2: Doctrine of Good FaithXXXX Technology and XXXXX under the doctrine of good faith, s
3、hall maintain mutual confidence and implement THIS AGREEMENaTnd/or other individual contracts based on THIS AGREEMENT.ARTICLE-3: TasksXXXXTechnology shall delegate the following tasks (THIS TASK) to XXXXX,and XXXXX shall be entrusted with THIS TASK. THIS TASK shall mean that, all acts of sales and m
4、arketing of O-Line Technology products (THIS PRODUCT) by XXXXX for closing contracts between O-Line Technology and telecom companies (CUSTOMERSin) Tanzania and possibly in other African nations. And it includes the following;(1) Introduce THIS PRODUCT to CUSTOMERS.(2) Marketing of THIS PRODUCT.(3) P
5、rovide market information (business plan and purchase details of CUSTOMERS).(4) Conduct field test of THIS PRODUCT.ARTICLE-4: CommissionCommission fee of THIS TASK shall be paid in contingent fee system, and O-Line Technology shall wire money into XXXXXs bank account within 7 days after full-payment
6、 from CUSTOMERS. Commission fee shall be not less that US$3 per each unit of the products sold to CUSTOMERS.Comments: Generally, the commission fee will keep with xxxUSD. However, If CUSTOMERS do not accept xxxx price policy, commission fee should depend on the practical situation, since OLine will
7、decrease price for CUSTOMERaSccordingly, this will reduce both xxx and XXXXXs profit.ARTICLE-5: After-sales serviceXXXXX, in collaboration with xxxxx Technology shall provide after-sales service of THIS PRODUCaTs per sales contract entered between O-Line Technology and CUSTOMERS.ARTICLE-6: SecrecyBo
8、th O-Line Technology and XXXXX shall not disclose to any third party any technical, economic, financial, marketing, customer or other information became to known through THIS BUSINESS, except the following;(1) Information which has become publicly known.(2) Information which both O-Line Technology a
9、nd XXXXX has known before THISBUSINESS.(3) Information which law requires to be disclosed.(4) Information which is excluded from confidential information by mutual agreementbetween O-Line Technology and XXXXX for safety reasons.(5) Information which is excluded from confidential information by mutua
10、l agreementbetween O-Line Technology and XXXXX.ARTICLE-7: TermTHIS AGREEMENT shall remain in full force and effect for one (1) year from the date of execution hereof. And THIS AGREEMENT shall be extended another one (1) year, unless otherwise either party notifies the other party of its unwillingnes
11、s to extend the duration of THIS AGREEMENinT writing not later than thirty (30) days prior to the scheduled end of the then current terms of its desire to terminate. Notwithstanding the foregoing, the secrecy provisions of Article-6 shall remain in full force and effect after termination of THIS AGR
12、EEMENT.ARTICLE-8: ConsultationAny question arising out of, or in connection with, THIS AGREEMENT, or any matter not stipulated herein shall be settled each time upon consultation between O-Line Technology and XXXX.ARTICLE-9: Dispute ResolutionAbout any dispute which may arise out of or in relationto
13、 or in connectionwith THIS AGREEMENaTnd/or other individual contract between O-Line Technology and XXX, both parties shall consent to non-exclusive jurisdiction of either orCommercial Court of XXXX.IN WITNESS WHEREOF, the parties hereto have executed THIS AGREEMENT in duplicate by placing their signatures thereon, and each party shall keep one copy of the originals.February 11, 2009.Name: Position:
