The Entrusted Matters甲方委托乙方联系 公司（以下简称“采购方”），并促成甲方与采购方就 产品的采购签订货物买卖合同。Party A hereby appoints Party B to contact (Purchaser) and to facilitate the signing of the purchase and sale cont

Obligations（1）甲方与采购方交易的具体价格、交货方式、支付方式等交易条款由甲方与采购方双方协商约定。 All the trade terms including price, payment term, delivery, etc. between Party A and Purchaser are negotiated and agreed by Party A and Purchaser.（2）乙方承诺每年给甲方介绍_
4、美元的销售额。Party B promises to introduce to Party A the annual sales amount of USD . （3）乙方应协助甲方回收全额货款及提供最新的市场信息。Party B shall assist Party A to recover the full payment and provide the latest market information. （4）合同有效期内，乙方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经甲方的书面同意，乙方不得泄露给任何第三方。During the term hereof, Party

7、ty.第三条：佣金的计算、给付方式、给付时间3. Calculation of commission, payment method and time（1） 佣金率及支付方式：凡甲方与采购方在本合同有效期内签订的货物买卖合同，甲方在收妥采购方每笔交易全部货款后，将按发票净售价付给乙方百分之 佣金。为了结算方便，佣金每月（季）汇付一次。如有退货，乙方应将有关佣金退还甲方。Rate of commission and payment method: In the sales contract signed by Party A and Purchaser within the validity p

11、均由甲方负担。All taxes imposed by the government of the Peoples Republic of China on Party A in accordance with its tax law in connection with the execution of this Contract or in connection with this Contract shall be borne by Party A.(2)中华人民共和国政府根据中国税法和中华人民共和国政府与乙方国家政府签订的避免双重征税和防止偷逃所得税的协定而向乙方课征的各项税费均由乙方
12、支付，甲方有义务依据本国的税法对乙方根据本合同而应得的收入按比例代扣一定的税费并代向税务机关缴纳。All taxes and fees imposed by the Government of the Peoples Republic of China on Party B in accordance with the Chinese tax law and the agreements between the Government of the Peoples Republic of China and the government of Party B to avoid double ta
13、xation and prevent income tax evasion shall be paid by Party B. Party A is obliged to withhold a certain amount of taxes on Party Bs income under this Contract in accordance with the domestic tax law and pay it to the tax authorities.（3）中华人民共和国以外所发生的与本合同有关和履行本合同的各项税费均由乙方承担。All taxes and duties arisi

Liability如乙方与采购方私下达成交易并从中收取回扣及违反本合同第二条的约定的，甲方有权终止本协议，有权不向乙方支付全部佣金，并有权要求乙方赔偿甲方全部损失。If Party B and Purchaser privately reach transactions and receives kickbacks from t
15、hem and violate the provisions of Article 2 of this contract, Party A has the right to terminate this Contract, not to pay all commissions to Party B, and to request Party B to compensate Party A for all losses. 第六条：协议仲裁6. Arbitration Agreement（1）凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则在深圳进行仲裁，仲裁裁决是终局的，对双方均有约束力，仲裁适用中华人民共和国法律。Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitrat
