3、hereas,theBuyerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orAnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasman
4、ufactureoftheContractProducts.Nowitisherebymutuallyagreedasfollows:Article1Definitions1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticle11.5.1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest.1.3“Contract”meansth
5、isContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orAnow-howundertheContract,detailsofwhicharespecifiedinAppendiG1.1.5“DestinationAirport”refersto_Airport.
6、1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.1.7“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendiG3.1.8“Erection”meansplacingtheEquipmenttothepositionsaccordin
7、gtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orAnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.1
8、.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely_.1.11“Anow-how”referstoanyvaluabletechnicalAnowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufac
9、tureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunAnowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentaAenbytheSellerforAeepingAnow-howinsecrecy.Thespecifi
10、cdescriptionofAnow-howissetforthinAppendiG3.1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached_()percentofthetotalEquipmentprice.1.13“Patent”referstoanyandalloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwith
11、theErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendiG3.1.14“PerformanceTest”meansthetestsforeGaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendiG1.1.15“Technica
12、lDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandeGplanationsofPatent,Anow-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenance
13、fortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendiG4.1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendiG6.1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendiG7.1.18“TestRun”meansthe
14、initialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.Article2ScopeoftheContract2.1TheSellersObligation2.1.1TheSellers
15、hallsupplytheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orAnow-howassetforthintheContract.2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendiG3,thespecificationisdetailedinAppendiG1.2.1.3TheSellershallprovidedesigninaccordancewithAppendiG5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendiG4.2.1.4TheSellershallconducttheTechnical
