Considering that the development of international trade on the basis ofequality and mutual benefit is an important element in promoting friendly relations among States, Being ofthe Opinion that the adoption of uniform rules which govern contracts for the international sale of goodsand take into account the different social, economic and legal systems would contribute to the removal oflegal barriers in international trade and promote the development of international trade, have decreed asfollows:本 公 约 个 缔 约 国 : 铭 记 联 合 国 大 会 第 六 界 特 别 会 议 通 过 的 关 于 建 立 新 的 国 际 经 济 次 序 的 各 项 决 议 的广 泛 目 标 , 考 虑 到 在 平 等 互 利 基 础 上 发 展 国 际 贸 易 , 是 促 进 各 国 间 友 好 关 系 的 一 个 重 要 因 素 , 认 为 采 用照 顾 到 不 同 的 社 会 , 经 济 和 法 律 制 度 的 国 际 货 物 销 售 合 同 统 一 规 则 ， 将 有 助 于 减 少 国 际 贸 易 的 法 律 障碍 , 促 进 国 际 贸 易 的 发 展 ,兹 协 议 如 下 ：PART ISphere of Application and General ProvisionsChapter ISphere of ApplicationArticle 1(1) This Convention applies to contracts of sale of goods between parties whose places of business are indifferent States: ( 本 公 约 适 用 于 营 业 地 在 不 同 国 家 的 当 事 人 之 间 所 订 立 的 货 物 销 售 合 同 ， )(a) when the States are Contracting States; or ( 如 果 这 些 国 家 是 缔 约 国 , 或 )(b) when the rules of private international law lead to the application of the law of a Contracting State.( 如 果 国 际 私 法 规 则 导 致 适 用 某 一 缔 约 国 的 法 律 ， )(2) The fact that the parties have their places of business in different States is to be disregarded wheneverthis fact does not appear either from the contract or from any dealings between, or from informationdisclosed by, the parties at any time before or at the conclusion of the contract. ( 电 力 的 销 售 )Article 3(1) Contracts for the supply of goods to be manufactured or produced are to be considered sales unlessthe party who orders the goods undertakes to supply a substantial part of the materials necessary for suchmanufacture or production.( 供 应 尚 待 制 造 或 生 产 的 货 物 的 合 同 应 视 为 销 售 合 同 , 除 非 订 购 货 物 的 当 事人 保 证 供 应 这 种 制 造 或 生 产 所 需 的 大 部 分 重 要 材 料 .)(2) This Convention does not apply to contracts in which the preponderant( 优 势 的 ) part of theobligations of the party （ 当 事 人 ） who furnishes the goods consists in the supply of labour or otherservices.( 本 公 约 不 适 用 于 供 应 货 物 一 方 的 绝 大 部 分 义 务 在 于 供 应 劳 力 或 其 它 服 务 的 合 同 )Article 4This Convention governs only the formation （ 形 成 ） of the contract of sale and the rights andobligations of the seller and the buyer arising from（ 产 生 ） such a contract.
