6、f four different processes: preparatory work, business negotiation, signing of business contract and implementation of the business contract. 一般而言,国际贸易包括4个不同过程:准备工作、交易磋商、签约以及履约。,Business Preparatory Work,As far as the preparatory work is concerned, the exporter has to be engaged in marketing researc

7、h abroad so as to be familiar with the local conditions of the market, the opportunities in the overseas market waiting to be developed and the preference and purchasing power of the local customers. 就准备工作而言,出口商必须在国外进行市场调查,以便了解当地市场行情、国外有待开发的 市场、消费偏好及购买力。 Another important aspect of preparatory work

8、is to establish business relations with prospective dealers. 准备工作的另一个重要方面是与潜在的交易商建立业务关系。,Business Negotiation,In international trade, business negotiation has direct influence upon the conclusion and implementation of a contract and plays a basic part in the conclusion of sales contract and has a gr

9、eat bearing on the economic interest of the parties involved. 国际贸易中,交易的磋商对合同的签订和合同的履行产生直接的影响,在商务合同的达成当中起着基本的作用,关系到交易双方的经济利益。,Generally speaking, business negotiation consists of four steps: inquiry, offer, counter offer and counter-counter offer (if any), and acceptance, among which offer and accept

10、ance are two indispensable steps for coming to an agreement and concluding a contract. 一般而言,交易磋商包括4个步骤:询盘、报盘、还盘及反还盘,以及接受,其中,报盘和接受对于达成协议与合同而言是两个不可缺少的环节。,The Signing of a Contract,In international trade business, the acceptance of an offer or order constitutes a contract. But in accordance with relati

11、ve Chinese practice and laws, Chinese export and import companies are required to sign a written contract stipulating rights and responsibilities of the parties concerned with foreign counterparts. 在国际贸易中,对报盘或订单的接受即构成了合同。但根据中国有关惯例与法律,中国进出口公司必须与外方签署书面合同,规定各方的权利与义务。,The Performance of an Export Contra

12、ct,The performance of contract can be divided into performance of export contract and performance of import contract. 履约可分为出口合同的履行和进口合同的履行。 The performance of export contract usually goes through the process of goods preparation, inspection application, reminding of L/C issuance, examination and ame

13、ndment to L/C, chartering, space booking, shipment, documents preparation for payment negotiation and settlement of claims (if any). 出口合同的履行通常包括备货、报检、催证、审证、改证、租船、订舱、装运、制单结汇和理赔。,The Performance of an Import Contract,The basic responsibilities that the buyer shall implement are to make payment for the

14、 goods and take delivery of them as required by the contract. 进口商的基本义务是按合同规定支付货款与收取货物。 In the case of import contracts on FOB and L/C basis, the performance usually goes through the process of credit issuance, vessel dispatch for taking over deliveries, insurance, examination of documents, payment,

15、customs clearance, check and acceptance and claims for the imports (if any). 就按FOB价格条件和信用证方式成交的进口合同而言,履约的过程一般有开证、派船接运货物、投报货运险、验单、付汇、报关、验收和进行进口索赔。,Comprehension Exercises,Teachers note that here we only give you some examples of the exercises.
