PROCESS KNOWLEDGE程序知识The Part A shall depute their engineers and experts having adequate knowledge for the installation of machinery a
9、nd to provide the process knowledge to the Party B running and maintenance of the plant & machinery and manufacturing of various grades of MTM-181. The necessary cost like air fare, boarding, food and other expenses incurred towards installation and xxmission of plant and machinery in India will be
10、borne by Party B.甲方应当指定其富有机械安装知识的工程师和专家作为代表，向乙方提供程序知识。例如，设备和机械的运行和维护，制造各种等级的MTM-181所需的知识。诸如机票、膳宿和其它有关在印度对设备和机械进行安装和投产所发生的费用支出由乙方承担。5. DELIVERY交付Party A shall start manufacturing/ procuring necessary plant and machinery upon receipt of advance payment of 25% and shall arrange to supply / despatch all
11、 the plant and machinery as per annexure A within 3 months.甲方应当在收到25%的预付款之后开始生产/采购必要的设备和机械，并在三个月内按照附件A的规定提供/发送所有的设备和机械。6. VALIDITY OF AGREEMENT协议有效期The agreement, when duly signed by both the parties concerned, shall remain in force till the final xxpletion of the contract xxmissioning of Plant and
12、trial production of MTM -181.本协议在双方签署之后生效，其有效期应持续到合同结束为止，即完成设备投产和MTM-181试生产。7. TERMINATION合同终止During the validity of the agreement, if the party is found to have violated the provisions herein, the other party shall have the right to terminate the agreement.在协议有效期内，如果一方被发现违反了本协议的规定，另一方有权终止本协议。8. FOR
13、CE MAJEURE不可抗力Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, drought, war or any other event which could not be predicated, controlled, avoided or overxxe by the relative party.因洪水、火灾、地震、干旱、战争或任何相关方所无法预料、控制
14、、避免或克服的事件，而导致协议部分或全部责任的失败或迟延，任何一方均无需承担法律责任。9. ARBITRATION仲裁All disputes arising from the performance of this agreement shall be settled through friendly negotiation. If the parties fail to arrive at any settlement through friendly negotiation, the parties may resolve the issue through arbitration. E
15、ach party shall have the right to appoint an arbitrator for the settlement of the dispute.
