1、1 DEALER AGREEMENT 经销商协议Seller (Name and (ii) the terms of appointment, which terms of appointment shall include provisions for the benefit of the Seller that are no less burdensome on such Approved Agent than those assumed by the Dealer hereunder, and require that the obligations owed to the Seller
2、 by the Dealer hereunder shall be binding in like measure on such Approved Agent. Where any Approved Agent breaches such terms, the Dealer shall be responsible for and liable to the Seller for any damages or consequences caused by the Approved Agent due to such breach. 经销商可以自己承担所有与产品相关的销售、投标、推广宣传或进出

4、 any Approved Agent will make payment in full for the purchased Products to the Seller without deduction or offset (except as otherwise agreed in writing by the Seller in advance), as required by the Seller by either: i) telegraphic transfer (“ T/T ” ) or ii) by an irrevocable and confirmed letter o
5、f credit. All payments are to be made in advance, at a time specified by the Seller. Changes to the requirements referred to in this Section 3 must be approved in writing by an authorized representative of the Seller. The Dealer shall be responsible for and liable to the Seller for the prompt and fu
6、ll payment to the Seller of all amounts in respect of the purchased Products, regardless of whether an Approved Agent or other intermediary has been used in the sale and purchase of the Products. 经销商或者任何被批准的代理应就购买的产品向卖方全额支付款项，不得有任何抵扣（卖方事先书面同意的除外），根据卖方的要求以以下任一方式支付i)电汇 (“T/T”)或者 ii) 不可撤销和经确认的信 用证。所有的付

8、ry or advisable for the supply of the Products in fulfilment of the Project(s). The Seller shall provide the Dealer with reasonable assistance and support to that end. 经销商或其经批准的代理应单独负责取得为項目履行中供应产品所需或者应取得的任何许 可、注册登记、允许或批准。卖方应一直向经销商提供合理的协助和支持。4.2The Dealer shall comply with all Local Regulations conce

13、demnify, defend and hold harmless the Seller from any claim, lawsuit, legal proceeding, settlement or judgment, including, without limitation, the Seller s reasonable attorneys fees and costs incurred in the defense of the same, resulting from or arising out of the negligence, recklessness, or 5 wil
14、ful misconduct of the Dealer or the Dealer s officers, employees or agents, breach of this Agreement, or failure to comply with law. 经销商就此同意其将赔偿、为之辩护以及使得卖方免于遭受源自于或者因经销商或其高级职员、雇员或代理的过失、疏忽或故意不当行为而违反本协议或者未能遵守法律所产生的任何诉 求、诉讼、法律程序、清算或判决，包括但不限于卖方为上述事项辩护所发生的律师费和费用。5.2The sole warranties provided by the Sell
15、er to the Dealer with respect to the Product are those contained or referenced in the Terms and Conditions applicable to the Product (the “Product Warranty“). The Dealer and its Approved Agents will make no additional warranties on behalf of the Seller and agrees to and shall defend, indemnify and h
16、old harmless the Seller from any claims and damages suffered by the Seller which are based on or claimed under warranties given by the Dealer that exceed the express Product Warranty. SELLER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, NON-INFRINGEMENT OR THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHETHER ARISING FROM A STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE
