1、哈尔滨工业大学高级管理人员工商管理硕士学位论文摘 要党的十一届三中全会特别是党的十六大以来，我国把国有企业改革作为 经济体制改革的中心环节，围绕股份制、混合所有制、建立现代企业制度、 实现投资主体的多元化等问题，全国上下积极探索，大胆创新，在深化国企 改革方面，取得了显著成效。我国东北地区的国有大中型企业较多，但由于 历史、 客观等方面原因， 存在着体制性障碍和结构性矛盾等深层次问 题，改 革滞后，机制不活，成为政府、理论界和实业关注的重点.随着振兴东北老 工业基地战略的实施，按照先改制、后改造的战略，一大批条件较好、资产 较优良的大中型企业，完成了公司制改革，转换了经营机制。但是，仍有部 分
2、大中型企业由于历史包袱沉重、资产状况不良，虽然所处行业有很大的发 展空间，但改革依然很难深化。并且以往的中小企业的改制思路不适用于国 有大型企业、老企业、困难企业，需要通过研究国内外的企业改革情况，从 中借鉴经验。哈尔滨电缆厂是典型的历史包袱重、债务多，产业发展空间大 的国有大中型企业。本文对该企业产权制度改革的研究，具有重要的现实意义。首先，本文探讨了国内外国有企业改革的实践，提出了需要注意的问题 和可以借鉴的经验;总结出我国社会主义市场经济条件下的国有企业改革实 践经验;其次，分析了哈电缆厂发展所面临的内外部环境，从电线电缆行业 概况、发展趋势和产业链下游八大行业的市场需求入手进行了论述，
3、并对电 线电缆市场和哈电缆厂的目 标市场进行了详细的分析， 结合哈电缆厂的现状， 为确定该企业的改制取向、设计改制模式提供论理支持。再次，在外部环境 与内部资源分析的基础上，比较分析国有企业改制的模式，基于可持续发展 的思路，确定了哈电缆厂的改制取向，即先结合国家并轨政策妥警安置分流 职工，剥离企办社会，建立新的公司制企业，然后通过引进战略合作伙伴， 进行金融债务的回购、土地资源的开发，并购中国电缆进出口公司，实现规 模效益，增强企业竟争能力。并按着这个思路，制定了分步实施的渐进式改 制方案。最后，本文给出了哈电缆厂确保完成改制工作的具体措施。关键词国企改革;改制模式:产权制度哈尔滨工业大学高
