1、上海交通大学 MPA 学位论文 企业登记制度改革研究 II企业登记制度改革研究 摘 要 企业登记管理作为政府管制行为的一种，是工商行政管理部门进行市场监督管理和行政执法的重要职能,是国家宏观经济管理的重要组成部分。通过企业登记，政府了解和掌握市场主体的数量和质量等有关数据，确定企业的经营范围，从而掌控市场经济运行的大趋势，这对于确保市场经济秩序，促进市场经济良性运行，都具有非常重要的意义。然而我国现行的企业登记制度诞生于计划经济时代，有很深的计划经济烙印，如立法混乱，层层审批，审查过严，退出困难等等。现行企业登记制度严重阻碍着市场经济的发展，规范企业登记管理制度已经成为工商行政管理部门维护市场
2、经济秩序、促进经济发展的重要目标，因此值得我们深入研究。 本文分析了现行企业登记制度存在的问题，剖析了现行企业登记制度存在不足的原因，如：立法混乱、滞后，前置审批程序设定不科学，企业经营范围设置过严，企业登记程序被割裂，企业登记后缺乏有效的监督管理，企业退出机制不健全等等。 本文还对欧美发达国家企业登记制度进行了研究，从企业登记体制、企业组织形式、企业注册资本、企业登记后的监督管理等方面，借鉴其先进的经验。 最后，本文对完善现行企业登记制度，深化我国企业登记制度改革，上海交通大学 MPA 学位论文 企业登记制度改革研究 III提出一些对策和建议：一是制定统一的企业登记法，建立科学的市场准入制度

This article analyzing the current business registration system problems, analyzing the shortage of reasons of the existing business registration system, such as: the legislat

10、Finally, this article put forward some countermeasures and suggestions:on improving the existing business registration system,deeping reform enterprises registration system : First, formulate an unified “Enterprise Registration Act“, establish a scientific system of market access; second, establish
11、scientific pre-approval system; third, abolish business scope and registered capital system, establish the autonomous system of law and the credit system of responsibility and commitment by shareholders ; Fourth, reform business registration system and implement Registrar system; Fifth, strengthen t
12、he follow-up monitoring, implement the Category supervision and public enterprise credit warning system; sixth , improve the legal system on out of the market. 15、成部分。企业登记管理，概括起来说，就是把好市场主体的准入关、当好市场运行的“裁判员” 、做好维护市场秩序的“坚强卫士” 。“市场秩序主要包括市场准入秩序、退出秩序，市场竞争秩序和市场交易秩序。市场主体准入、退出是维护市场秩序的源头。有规范的市场主体准入、退出秩序，才能有规范的市场秩序。” “创造规范有序的环境，是实现经济社会全面、协调、可持续发展的重要条件。从世界角度看，实行市场经济的国家占绝大多数，但真正实现经济繁荣的，无不都是营造有规范有序市场环境的国家。我国目前市场的状况，有交易、竞争的无序，更有主体秩序的混乱。两者交互作用，直接阻碍改革和发展的进程。政府是市场秩序的先天提供者和维护者。必须大力整顿和规范市场主体行为、竞争行为、交易行为，确保市场配置资源基础作用的有效发挥。” 因此，企业登记制度是企业进入市场经济大潮的总闸门，是社会主义市场经济体制的一个基础组成部分，对保证市场经济体制有序运行，保证市场交易安全，建立现代企业制度具有至关重要的意义。完善的企业登记制度能有效地促进公平竞争，维护市场经济
