1、 华 中 科 技 大 学 硕 士 学 位 论 文 I摘 要 紧随国家投资建设的拉动，国有大型施工企业的面貌日新月异，无论企业规模或管理水平，都呈现快速发展态势。资金流的迅速膨胀和管理精细化的要求，使资金集中管理成为必要，国内外相关理论的研究和一些集团公司的实践也表明资金集中管理的可行性。 Z 公司属国有特大型施工企业，近几年来对资金集中管理做了一些探索和推行，但集中的路径成了管理中的一个瓶颈，如何设计适合公司现金流特征和管理需要的资金集中管理路径，则成为问题的焦点。 论文首先介绍了资金集中管理的国内外相关理论和研究成果，总结和提炼了资金集中管理的主要路径发展现状，并分析各管理路径的利弊和适用特
2、质，为 Z 公司资金集中管理路径的设计提供了视角。其次，由于 Z 公司的资金流与 GE 公司相似，两公司都涉及多行业领域、管理范围广，因而引入 GE 公司已实施成功的现金池管理路径，为 Z 公司提供了借鉴。其三，简单介绍 Z 公司的经营特色、现金流特点和管理状况，总结 Z 公司资金集中管理已取得的初步成就，剖析存在的问题及主要原因，使下一步的资金集中管理设计做到对症下药。其四，分析 Z 公司所处的内外部环境，确定 Z 公司资金集中管理的目标，构建 Z 公司资金管理体系，从而设计出 Z 公司资金集中管理路径，对管理路径的实施步骤和关键业务做了详细周密的部署，并从制度建设、组织结构、人才队伍培养、
3、技术措施及风险预防控制方面，进行完整的规划设计，全方位地为资金集中管理路径的实施做好运行保障，也以求具有更强的操作性。最后，指出尚需继续深入研究的问题。 关键词：资金集中管理 财务公司 现金池 华 中 科 技 大 学 硕 士 学 位 论 文 IIAbstract Following the construction of state investment, the face of large state- owned construction enterprises has been changing with each passing day. Both the company size a
4、nd level of management are showing rapid development trend. The rapid expansion of capital flow and management of refined requirements make centralized management of funds to be necessary. The theoretical study related at home and abroad and a number of group practices also show the feasibility of c
5、entralized management of funds. Z Company is a large state- owned construction enterprise, which has done some exploration and implementation on the centralized management of funds in recent years. Nevertheless the focus on the path becomes a bottleneck in the management. How to design a path of cen
6、tralized management of funds for the company which is suitable for the cash- flow characteristics and management becomes the focus of a problem. This paper firstly describes the related theories and research of the centralized management of funds and foreign, summarized and refined the main path to
7、centralized management of funds and its development, and analyzed the pros and cons of various management and application of the path characteristics of centralized management of corporate funds for the Z company is designed to provide a perspective. Secondly, because of the Z companys cash flow wit
8、h companies like GE, the two companies have been involved in several industries, management, broad in scope, and thus the introduction of GE companies have implemented a successful management of the cash pool path provided a reference for the Z. 15、择，这成为困扰企业管理者的难题。 近几年来，拉动我国经济发展的投资、出口和消费这“ 三驾马车” 中，起主导作用的是投资。尤其在世界金融危机之后，出口和消费的形势都不容乐观，而投资依然保持高速增长，对于经济的拉动最为明显。08 年国家投资的 4 万亿中有近一半投资将用于铁路、公路、机场和城乡电网建设，这对于国有特大型施工企业无疑是利好消息，相应地，施工企业近几年发展势头迅猛，规模扩展很快，经营中所产生的资金流量也空前增大，资金管理中的风险也随之加大，集团总部对资金很强的控制力就显得尤为必要；另一方面，由于建筑市场竞争激烈，项目施工所带来的经济效益急剧下降，管理者将目光投向做 BT、BOT及房地产
16、等项目投资，这将需要大量资金作为支撑，没有资金的聚合将很难达到理想的状态，因此，资金集中管理是国有大型施工企业的必由之路。 资金集中管理所产生的规模效益及对企业的风险控制效果是显而易见的，至少体现在以下方面： 1）完善整个企业的治理结构和组织机构。利用资金优化配置手段加强对子公司的生产经营控制，使资金投向符合企业的战略目标，从而达到企业的治理结构和组织机构更趋于完善。 2） 借助信息化管理手段， 可实现对子公司资金收支活动的实时监控和统一调配。华 中 科 技 大 学 硕 士 学 位 论 文 2通过集中管理，可迅速而有效地控制企业集团的全部资金，并进行内部资金的统一调剂，保证各子公司顺利运行。 3）资金运作成本最省、效率最高。资金的集中管理，能降低企业集团的现金持有水平，避免不必要的资金闲置，降低资金成本；同时还能带来资金管理的规模效益，资金流量的增大可以与银行等金融机构达成共赢的管理成果。 4）控制资金管理风险，达到企业效益最大
