2、治经济生活的重要性随着经济发展愈来愈凸现。 随着市政公用设施服务市场的开放，污水处理项目虽然投资大、回收期长，但其以特许经营权为核心的 BOT 项目具有稳定的盈利水平和现金流，仍然吸引了众多国内外投资者。在这过程中由于污水处理项目中特许经营权的定位不清晰，国家未有一个明确的行业标准来规范这一领域，由此使本应该作为一种项目融资方式的 BOT 项目，其项目本身的融资能力受到很大限制，而逐渐演变成类 BOT 项目，使投资者和债权人以至 BOT 项目本身的正当权益在操作过程中易出现风险，如对特许经营协议是行政许可还是经济合同的争论；是否一定需要竞争才能获得特许经营权的争论；特许经营权是授给城市水务集团
3、还是授给 BOT 项目公司的争论；政府是否需要独立监管机构的争论；对 BOT 项目是否要进行成本监管的争论；项目融资时的还贷主体等等。 本文试从污水行业现行的 BOT 项目融资开始，探析其基础特许经营权的理论与实践，以及在污水处理行业已经存在和可能出现的投融资模式，在本文写作过程中，建设部在 2006 年 3 月发布城市污水处理特许经营示范文本征求意见稿，这标志着污水处理项目中有关特许经营政策的规范完善、全国污水处理行业 BOT 项目操作标准得以细节化，对投资人及项目融资都是一个很好的保障。 2目 录 目 录 前言 第一部分 特许经营及 BOT 项目的理论探讨 前言 第一部分 特许经营及 BO

5、四部分 结论与探讨 第一节 结论 第二节 探讨 参考文献 后 记 参考文献 后 记 3摘 要 摘 要 近年来，在借鉴发达国家水务发展经验的基础上，我国在城市水务经营市场化和融资多元化改革方面做了多种尝试。 污水处理业是水务业的一部分，我们平时所说的水务行业包括供水行业（自来水业）和污水处理行业（排水业）两大块，供水行业作为国家基础公用设施，目前基本上由政府投资建设运营控制；而污水处理行业在经济不断发展、环保问题日益凸现而国家财政资金投资有限的情况下，政府已放开对污水处理行业投资限制，根据有关资料1显示，1998 年以前，全国 534 个污水处理项目建设总投资 1027 亿元，其中国债资金、预算
6、内专项资金、地方配套资金达 845.9 亿元，占项目总投资的 82.4%，银行（包括国家开发银行）贷款和社会投资比重仅为 17.6%，几乎没有社会资金参与，本文试从污水行业现行的 BOT 项目融资开始，探析其基础特许经营权的理论与实践，以及在污水处理行业已经存在和可能出现的投融资模式。 本文分为四个部分。第一部分是理论综述，回顾和总结了特许经营权和 BOT 项目的理论成果和实践；第二部分总结了特许经营下污水 BOT 项目及其投融资案例，首先简述了污水行业发展历程，然后对污水 BOT 项目在现行政策下的困境及其对策分析，再结合两个典型行业案例对其投融资领域进行进一步分析。 第三部分是第二部分的延
7、续和深入， 进一步分析污水处理行业项目投融资过程中困难与此行业潜在的融资创新模式，第四部分是全文的结论，在探讨污水行业的投融资过程中得出本文结论：由于水务系统准公益性的特殊性，污水处理行业应因地制宜选择较优的投融资模式。 目前推行的城市排供水产业体制改革的最终目标是寻求新的投资渠道， 筹集建设发展资金组建水务集团， 本文意在抛砖引玉希望为我国污水行业的投融资研究贡献微薄之力。 关键词：特许经营协议 BOT 项目 污水处理 投融资 4ABSTRACT ABSTRACT In recent years, our country has done many kinds of attempts in
8、dealing in marketization and pluralistic reform of financing in urban water affair. On the basis of using the water affair of developed country for reference and developing experience. Sewage disposal industry is a part of the water affair industry . We said water affair including supplying water tr
9、ading and sewage disposal trade. Basically controlled by the construction and operation of governmental investment at present. For supply water in the trade as the national basic public utility ; And the sewage disposal trade is in economy is being developed constantly, the issue on environmental pr
10、otection appears but in a situation that the state finance is limited in capital investment day by day, the government has already unlocked and made the investment to limit to the sewage disposal trade. According to relevant materials:1 Before the 1998, sewage disposal construction of facilities cap
11、ital source whether central authorities and locality budgetary special fund, department, local related fund and foreign government loan mainly. The project total investment for construction of 102,700 million yuan of 534 sewage disposal of the whole country: Among them fund of national debt , budget
12、ary project fund , local related fund are up to 84,590 million yuan, accounts for 82.4% of the gross investment of the project, the loan of the bank and social investment proportion are only 17.6%. The first part of this thesis give the introduction about Concession Agreement theory as well as achie
13、vement and practice of BOT project. The second part summarized sewage BOT project with Concession Agreement and case of investment and financing in China.
