11、ation organizedand existing under the laws of (hereinafter referred to as the Seller), as the otherparty, under the following terms and conditions:本 合 同 是 中 国 法 人 中 国 技 术 进 出 口 总 公 司 （ 以 下 简 称 “买 方 ”） 和 _国 法 人_（ 以 下 简 称 “卖 方 ”） 在 友 好 协 商 的 基 础 上 签 署 的 ， 其 条 款 如 下 ：Article 1 Definitions第 1条 定 义In the
12、 contract unless the context otherwise defines,除 本 合 同 上 下 文 中 另 有 规 定 外 ， 下 列 各词 语 定 义 如 下 ：1.1 Acceptance, means the Buyer accepts the Contract Plant after it reaches the technical performance and guarantee indices specified in Appendix 3 in the Performance Test.1.1 “验 收 ”是 指 合 同 工 厂 在 性 能 考 核 中 达
13、 到 附 件 3规 定 的 技 术 性 能 和 保 证 指 标 之 后 ， 买方 接 受 合 同 工 厂 。1.2 Buyers Bank, refers to .1.2 “买 方 银 行 ”是 指 _。1.3 Commissioning, means the initial production of the Contract Plant for the purpose of carrying out the Performance Test after the utilities being connected and the raw materials being put into th
14、e Contract Plant, details of which are specified in Appendix 10.1.3 “投 料 试 生 产 ”是 指 为 进 行 合 同 工 厂 的 性 能 考 核 ， 在 公 共 设 施 已 经 接 通 并 已 将 原 材 料 投入 合 同 工 厂 后 进 行 的 初 步 生 产 。 详 见 附 件 10。1.4 Contract Currency, means the currency in which the payment is made under the contract, namely_1.4 “合 同 货 币 ”是 指 本 合
15、同 项 下 的 支 付 中 所 使 用 的 货 币 ， 即 _1.5Contract Equipment, means the equipment, spare parts, materials or any part thereof supplied by the Seller including those which shall be incorporated in the Contract Plant in order to ensure the designed capabilities, details of which are specified in Appendix 1 an
16、d 3.1.5 “合 同 设 备 ”是 指 卖 方 提 供 的 设 备 、 备 件 、 材 料 和 其 中 一 部 分 ， 包 括 为 确 保 合 同 工 厂 达到 设 计 能 力 而 应 包 含 在 合 同 工 厂 的 任 何 部 件 ， 详 见 附 件 1和 附 件 3。1.6 Contract Plant, means the plant comprised of Contract Equipment, the licensed know-how and/or patent, design, Technical Documentation, Technical Service as well as Technical Training within the supply scope of the contract,
