1、安全协议书英文范文for【】 .Therefore, the Parties hereb enter into this Confidential Agreement as follos for the purpose of safeguarding the business seret of the Parties: 一、定义 Artile 1 : Definition 1、信息披露方：在本协议中是指保密信息的提供方； Information Disloser: In this agreement, it means the Part ho provide onfidential infor
2、mation to the other Part. 2、信息接受方：在本协议中是指保密信息的接收方。 Information Reeiver: In this agreement, it means the Part ho reeive onfidential information from the other Part. 二、保密信息的组成 Artile 2: Composition of Confidential Information 本协议所称保密信息是指由信息披露方提供给信息接受方的任何与信息披露方经营业务或行为有关的、信息披露方尚未公开的信息，无论该信息采用何种形式提供给信息接受
3、方，保密信息接受方或其工作人员均应合理认为其为保密信息。 Confidential Information referred in this Agreement means an information provided b information disloser to the information reeiver hih is related to the business or ativit of the information disloser or an information that has not been publiized b the information dislos

The information reeiver or the personnel of the information reeiver shall reasonabl deem suh information as onfidential information disregarding the form in hih suh information is provided to the information reeiver.三、例外 Artile 3 Exeption 保密信息不包括以下内容：Confidential Information shall exlude the fol
5、loing information: 1、在信息披露方将信息提供给信息接受方之前，信息接受方已知道的信息； An information hih has been knon b the information reeiver prior to the provision of said information b the information disloser to the information reeiver; 2、信息接受方没有违反本协议的情况下，已被公众知晓或广泛使用的信息； the information alread knon or used b the publi ithout
6、 the reeiver breahing this Agreement; 3、信息接受方从第三方处正当获得或接收到的不受保密限制的信息； the information not limited b the onfidentialit requirement hih the reeiver obtains or reeives legall from the third part 4、没有违背协议的情况下信息接受方独立研发获得的信息； the information that the reeiver independentl develops ithout violating the Agre
7、ement; 四、保密义务 Artile 4 Confidential Obligation: 1. 双方及其工作人员应对上述所有保密信息进行严格保密； The Parties and the personnel of the Parties shall keep the above-mentioned information stritl onfidential; 信息接受方应只允许那些有必要了解保密信息并且被告知且同意遵守保密义务的职员和专业顾问获得保密信息； The information reeiver shall onl allo the obtaining of the Confi
8、dential Information b the emploer and professional adviser ho has the neessit to kno the Confidential Information and has been notified and agreed to abide b the onfidential obligation; 3. 非经披露方书面同意，信息接受方不能向任何第三方公开、复制、销售、出租、出借、转让、传播、泄露或透露保密信息。信息接受方一旦发生丢失、被盗、烧毁等会引起保密信息泄露或销毁的行为和事故，应承担全部责任；Unless ith t

If information reeiver enounters loss, theft, damage or an ation or aident that ma ause the onfidential information revea
10、led or damaged, the information reeiver shall take all responsibilities; 4. 在本协议终止后，双方仍需遵守本协议之保密条款，履行其所承诺的保密义务，直到信息披露方同意其解除此项义务，或事实上不会因信息接受方违反本协议的保密条款而给信息披露方造成任何形式的损害时为止。 After this Agreement terminates, the Parties shall ontinue to abide b the onfidentialit artiles of this Agreement and shall perfo
11、rm the onfidentialit obligation hih the Parties have promised, until the information disloser agrees to release the information reeiver from suh obligation, or in fat the default of the information reeiver ill not bring an damage in an form to the information disloser. 五、公开要求 Artile 5 Requirement of
12、 publiation 在司法或政府部门指令、要求或命令信息接受方公开保密信息的情况下，信息接受方可以向上述部门披露保密信息。但是，在法律允许的情况下，信息接受方在披露保密信息前必须采取合理的措施通知信息披露方以便对该指令、要求或命令进行抗辩。 Under the irumstanes of judiial or governmental organs instrution, requirement or order hih requires information reeiver to reveal the onfidential information, information reeiv

14、ions, requirements or orders. 六、信息归还与销毁 Artile 6 Return and Destro of the Information 双方同意，发生下列情形之一：1. 当信息接受方不再需要保密信息用于该工作目的时；双方未能就本项目达成正式的合作协议时； 3. 双方就本项目签订的正式合作协议履行完毕； 4. 任何时候收到信息披露方书面形式做出要求时； 5. 信息披露方原有保密信息发生变更时； 信息接受方应立即将所有保密信息按信息披露方要求归还给信息披露方，或予以销毁所有信息。 The Parties agree, under an of the folloi

Changes ourring to the original onfidential information of the information disloser. 七、违约责任和索赔 Artile 7 Breahing Liabilit and Compensation 信息接受方违反本协议规定时，信息披露方有权要求信息接受方限期进行纠正，并追究其违约责任，直至信息接受方完全改正错误，消除影响为止。如信
