2、fcertificateofeligibilitytopurchaseno.)of(hereinaftercalledthepurchaser);and(3)(holderofbusinessregistrationcertificateno.)of(hereinaftercalledthevendorsagent)and(holderofbusinessregistrationcertificateno.)of(hereinaftercalledthepurchasersagent).or(3)(holderofbusinessregistrationcertificateno.)of(he
3、reinaftercalledtheagent).nowitisherebyagreedasfollows:1.thevendoragreestosellandthepurchaseragreestopurchase*throughthevendorsagentandthepurchasersagent/theagent,thepropertyknownas(hereinaftercalledtheproperty)subjecttothetermsandconditionshereincontained.2.thepurchasepriceofthepropertyishk$whichsha
4、llbepaidbythepurchasertothevendorinthefollowingmanner:(a)initialdepositofhk$shallbepaiduponsigningofthisagreement;(b)furtherdepositofhk$shallbepaiduponsigningoftheformalagreementforsaleandpurchaseonorbefore;and(c)balanceofpurchasepriceofhk$pletionshalltakeplaceonorbeforeandthepropertyistobesoldtothe
5、purchasersubjecttoclause17hereofbutotherwisefreefromincumbrances.4.uponcompletion,thevendorshalldelivervacantpossessionofthepropertytothepurchaser.5.thepurchasershallnotsub-sellthepropertyortransferthebenefitofthisagreement,whetherbywayofadirectorindirectreservation,rightoffirstrefusal,option,trusto
6、rpowerofattorney,nominationoranyothermethod,arrangementordocumentofanydescription,conditionalorunconditional,orenterintoanyagreementsotodobeforethecompletionofthesaleandpurchaseoftheproperty.whenfixingthedateofsigningoftheformalagreementforsaleandpurchase,thepurchaserandvendorshouldrefertoclause8bel
7、ow.6.thevendorandthepurchaseragreethattheyshallseparatelyappointtheirownsolicitors.thevendorshallberepresentedbyandthepurchasershallberepresentedby.7.eachpartyshallbearitsownlegalcosts.subjecttoclause11hereof,allstampdutyshallbebornebythepurchaser.8.thepurchaseragreestoapplytothehousingauthorityfora
8、letterofnominationwithinonemonthfromthedateofthisagreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.9.inordertoenablethepurchasertoapplyfortheletterofnomination,thevendoragreestotendertheoriginalofthecertificateofavailabilityforsaletothepurchaser
9、orhissolicitorswithindaysfromthedateofthisagreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.10.shouldthepurchaserfailtoobtainaletterofnomination(otherwiseduetothevendorsfailuretotenderthesaidcertificateofavailabilityforsalepursuanttoclause9above
10、)beforethesigningoftheformalagreementforsaleandpurchaseorfailtocompletethepurchaseinmannerhereincontainedorfailtoobserveanyofthetermscontainedinthisagreement,thedepositshallbeforfeitedtothevendorandthevendorshallthenbeentitledathissolediscretiontosellthepropertytoothereligiblepurchasersashethinksfit
11、butwithoutprejudicetothevendorsrighttoclaimspecificperformanceanddamagesfromthepurchaser.11.shouldthevendorfailtotendertheoriginalofthecertificateofavailabilityforsaletothepurchaserorhissolicitorsaccordingtoclause9ofthisagreementorfailtocompletethesaleinthemannerhereincontainedorfailtocomplywithanyo
12、fthetermsofthisagreement,thevendorshallforthwithreturnthedeposittothepurchaserandshallpaytothepurchaserasumequivalenttotheamountoftheinitialdepositasliquidateddamagesandshallalsoreimbursethepurchaserwiththepaymentofstampdutybutwithoutprejudicetothepurchasersrighttoclaimspecificperformanceanddamagesf
13、romthevendor.12.inconsiderationoftheservicesrenderedbythevendorsagentandthepurchasersagent,entitledtoreceivehk$_fromthevendorandthepurchasersagentshallbeentitledtoreceivehk$fromthepurchaserascommission.suchcommissionshallbepaidonorbefore.orinconsiderationoftheservicesrenderedbytheagent,theagentshall
14、beentitledtoreceivehk$fromthevendorandhk$fromthepurchaserascommission.suchcommissionshallbepaidonorbefore.13.ifinanycaseeitherthevendororthepurchaserfailstocompletethesaleandpurchaseinthemannerhereinmentioned,thedefaultingpartyshallcompensateatoncethevendorsagenthk$andthepurchasersagenthk$/theagenth
15、k$asliquidateddamages.14.thepropertyissoldtothepurchaseronanasisbasis.15.thisagreementsupersedesallpriornegotiations,representation,understandingandagreementsbetweenthepartieshereto.16.itisherebyagreedthatthesaleandpurchasehereofshallincludethechattels,furnitureandfittingsassetoutintheremarks.17.thepurchaseracknowledgesthatheispurchasingthepropertysubjecttotheliabilityforpaymentofpremiumassetoutinparagraph1ofthescheduletothehousingordinancecap.283.thevendordeclaresthatforthepurposeofcalculationoftheamountofpremiumunderparagraph1(b)o
