Based on the principle of mutual benefit and common development, both parties shall sign this NDA through friendly consultations.双方正在就 跨境支付与电子商务进行合作，需要取得对方的相关业务和技术资料，为此，甲乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议。1. In this agreement, “Confidentia
3、l Information” means all confidential, non-public or proprietary information, regardless of how the information is stored or delivered, exchanged between the parties before, on or after the date of this Agreement relating to the business, technology or other affairs of the discloser of this informat
4、ion or any of its affiliates, which in the case of SMARTRO means its affiliates and any subsidiary of SMARTRO, and in the case of EBC means any affiliates and any subsidiary of EBC but does not include information:在 本 协 议 中 ， “保 密 信 息 ”是 指 双方中任何一方披露给对方的与合作有关或因合作产生的任何商业、营销、技术、运营数据或其他性质的资料，无论以何种形式或载于何
5、种载体，无论在披露时是否以口头、图像或以书面方式表明其具有保密性（简称：保密信息），双 方 及 其 任 何 附 属 公 司 在 签 订 本 协 议 之 前 ， 正 在 或 之 后 发 生 的有关业务，技术或其他相关事务所传递的信息均属于保密信息，本协议下 SMARTRO 指 XXXXXXX 及其任何附属公司，yyyyyy 指 yyyyy 及其任何附属公司，保密信息不包括以 下情况：(i) which is in or becomes part of the public domain other than through breach of this agreement or an oblig

Each party:2.1 will only use the other partys Confidential Information for the purpose of assessing potential business partnership opportunities (the “Agreed Purpose”);任一方只在用于评估潜在商业合作机会（“约定
9、用途”）时可以用到对方的保密信息；2.2 will only disclose the other partys Confidential Information to such of its, or its affiliates, officers, employees, contractors, agents, legal and financial advisers:任 一 方 只 能 在 以 下 情 况 下 将 对 方 的 保 密 信 息 透 露 给 它 的 附 属 公 司 ， 员 工 ，承 包 商 ， 代 理 商 ， 法 律 及 财 务 顾 问 ：a) to whom it is n
10、ecessary to disclose the Confidential Information for the Agreed Purpose;因 为 “约 定 用 途 ”有 必 要 披 露 保 密 信 息 ；b) who are informed of the confidential nature of the Confidential Information; and为 保 密 信 息 的 一 部 分 ；c) who agree to be bound by the terms and conditions of this undertaking.同 意 遵 守 本 协 议 的 条 款
11、 和 条 件 的 约 束 。2.3 will, and will ensure that its, and its affiliates, officers, employees, contractors, agents and legal and financial advisers keep the other partys Confidential Information confidential and secret and will not:任 一 方 将 确 保 其 及 其 附 属 公 司 ， 员 工 ， 承 包 商 ， 代 理 商 ， 法 律 及 财 务 顾 问保 守 对 方 保
12、 密 信 息 的 保 密 性 ， 并 保 证 不 会 ：a) whether directly or indirectly disclose, divulge, sell, communicate to, use or publish the Confidential Information for the benefit of any person, firm, partnership, corporation, trust or association other than the other party;不 论 是 直 接 或 间 接 地 透 露 ， 泄 露 ， 出 售 ， 传 递 ，
13、使 用 或 发 布 保 密信 息 ， 为 了 任 何 个 人 ， 企 业 ， 合 作 ， 公 司 ， 信 托 或 协 会 的 利 益 ;b) use, provide or disclose particulars of any conversations, discussions or negotiations with the other party, or any of its affiliates, or any of their CONFIDENTIALITY AND NON DISCLOSURE AGREEMENTPage 3officers, employees, agents
14、or advisers relating to the Agreed Purpose for any purpose other than the Agreed Purpose; or使 用 ， 提 供 或 披 露 将 “约 定 用 途 ”相 关 的 与 对 方 及 其 任 何 附 属 公 司 ，员 工 ， 代 理 商 ， 顾 问 的 任 何 谈 话 ， 讨 论 或 谈 判 ， 用 作 “约 定 用 途 ”以外 的 任 何 目 的 ；c) copy or reproduce any of the Confidential Information reduced to writing or an
